About these terms and the XPO8 group

This page brings together the terms of service for XPO8 Limited’s corporate website and the published terms of its portfolio companies. XPO8 Limited is based at 1603, L. Plaza, 367–375 Queen’s Road Central, Sheung Wan, Hong Kong Island, Hong Kong. For questions about this website or a company without a separate published legal contact, email contact@xpo8.com or call +852 5808 2157.

The website terms in the sections above the company documents apply to your use of xpo8.com. Each company’s services are governed by that service’s own terms, order details and any applicable written agreement. The company documents below are dated reference copies of published policies, rather than a new agreement that combines every company’s obligations. Using one service does not enrol you in another service or make every portfolio company a party to your contract.

Read the terms for the particular service before creating an account, paying, booking or uploading content. A company-specific agreement governs that service if it differs from this corporate website’s terms. An individually agreed written contract governs the matters it expressly covers. Mandatory consumer protections and other rights that cannot lawfully be excluded continue to apply.

02

Acceptance, eligibility and authority

By using xpo8.com, you agree to these website terms to the extent permitted by applicable law. If you do not agree, stop using the website. The corporate website provides information about our group; it does not itself create a paid account or a subscription.

You must have the legal capacity and any permissions needed for the activity you undertake. If you act for a company or another organisation, you must be authorised to do so. Age requirements differ between portfolio services; consult the relevant company document instead of assuming one age threshold applies across the group.

03

Information on this website

Company descriptions, portfolio information and other material on xpo8.com are provided for general information. They are not an offer of securities, an invitation to invest, or personalised legal, tax, financial, medical or other professional advice. A portfolio listing does not promise that every product, feature or service is available in your location.

We may update the website and its company descriptions. We aim to keep information useful and accurate, but do not promise that every statement is complete, current or suitable for a particular decision. Confirm the relevant service’s current offering and contractual information on its own website before relying on it.

04

Permitted use and prohibited conduct

You may access and use the corporate website for lawful purposes, including learning about our companies and contacting us. Do not misuse the website, interfere with its operation, introduce malicious code, bypass access controls, impersonate another person, send unlawful or abusive material, or use it to infringe another person’s rights.

Do not obtain unauthorised access to systems or data, collect personal information without lawful authority, or make requests that unreasonably burden the website. Any permitted automated access remains subject to applicable law, access restrictions and the rights in the material concerned.

05

Intellectual property and your communications

The website’s design, text, software, graphics, company names and logos belong to XPO8, the relevant company or their licensors. You may view the website and retain reasonable copies for personal reference. Any other use requiring the rights holder’s permission must be authorised separately. No trademark licence or ownership right is transferred by visiting the website.

You retain your rights in material you send us. Send only information you are entitled to share, and allow us to use your communication to assess and respond to your enquiry. Do not send passwords, payment-card details, confidential third-party records or sensitive information that is unnecessary for your enquiry. Sending an unsolicited idea does not create a confidentiality, investment or advisory agreement; arrange a separate agreement before sharing material that requires one.

06

Accounts, content and community participation

Accounts, member content, moderation and account closure are handled by the portfolio service concerned. Follow its account-security requirements, content licences, reporting procedures and community rules. You remain responsible for having the necessary rights and permissions for material you upload or connect to a service.

Visibility varies by product and setting. Public profiles, rankings, community posts, athlete profiles, game results and business reports may be visible to different audiences. Read the relevant terms and privacy policy before posting or connecting an external account. A privacy choice in one company does not automatically change your settings in another.

07

Pricing, subscriptions, cancellations and refunds

Browsing xpo8.com does not create a payment obligation. If you buy a portfolio company’s service, the price, currency, taxes, renewal terms, cancellation process and refund rules shown for that service and its checkout apply, subject to mandatory law.

There is no single group-wide refund, trial or cancellation policy. Hosting subscriptions, learning products, community memberships, court bookings, coaching and travel reservations have different conditions. Cancelling an account, stopping a renewal, cancelling a booking and obtaining a refund are separate actions. Read the relevant company document and any provider-specific booking or order conditions before paying.

08

Important differences between our services

Mobility tools: vehicle valuations, market information and inventory tools are governed by Carvaly’s terms. Assess their stated data limitations and verification requirements before making a buying, selling or lending decision.

Learning and communities: Tezzelo, UniExamFocus, EntreGraph and ZeroToBuilders have separate rules for creator content, educational material, community conduct, connected accounts, subscriptions or memberships. Educational outcomes, admission, commercial success and third-party offers are subject to each service’s published qualifications.

Hosting: Vayfora has its own terms for scans, migrations, customer websites, domain access, acceptable content, managed hosting, forms, analytics, billing and service termination. Website-owner responsibilities and any data-processing agreement remain separate from these corporate website terms.

Travel, sport and marketplaces: VeniceXplorer, padelduels, Jigz.co and backk.me concern different activities and participants. Identify the provider responsible for a booking, listing, coaching service, task or sponsorship. Check applicable cancellation rules, safety responsibilities and third-party conditions. These website terms do not create a booking, employment, agency, insurance or sponsorship relationship.

For Calyxi, Parity21, 2meee, Plaskick, D42, URBDY and myZpa, this page identifies the portfolio brand without inventing unpublished product conditions. Contact XPO8 for the applicable agreement before entering a transaction where no company-specific terms are available.

09

External websites and independent providers

Links to company websites and external resources are provided for convenience. The destination’s terms and privacy notice apply to its own service and collection of information. A link does not guarantee the destination’s availability, accuracy or suitability.

A payment processor, hosting customer, course creator, venue, coach, travel operator, freelancer or other participant may have its own responsibilities and agreement with you. The relevant service documents explain those roles. Inclusion in the portfolio does not make XPO8 responsible for every independent provider’s conduct.

10

Availability, changes and access restrictions

We may maintain, change, suspend or discontinue all or part of the corporate website, including to address security issues or comply with law. We do not guarantee uninterrupted or error-free access. We may restrict access where reasonably necessary to prevent misuse or protect the website and its users.

Changes to a paid portfolio service, account suspension, export opportunities and termination consequences are governed by that service’s own agreement and applicable law. Removing a company link from xpo8.com does not by itself cancel an existing contract with that company.

11

Disclaimers and liability

To the extent permitted by law, the corporate website is provided on an ‘as is’ and ‘as available’ basis, without a promise of uninterrupted availability, fitness for a particular purpose or completeness of its general information. You are responsible for evaluating information before acting on it and for protecting your own device and connection.

To the extent permitted by law, XPO8 is not responsible for indirect or consequential loss, or loss of profit, business opportunity or data arising from use of this informational website. This section does not impose a group-wide monetary liability cap on portfolio services; their own contractual limits must be read separately.

Nothing in these website terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any liability or consumer protection that cannot lawfully be excluded or limited. Any disclaimer or limitation applies only so far as the law applicable to you permits.

12

Privacy and communications

Our privacy policy explains the handling of information associated with xpo8.com and provides the collected privacy documents for our companies. A privacy notice explains data practices; it does not replace consent where a particular use of information legally requires consent.

We may respond to an enquiry using the contact details you provide. Product notices, support messages and marketing preferences are managed by the relevant service under its own terms, privacy notice and applicable law.

13

Governing law and resolving concerns

These corporate website terms are governed by the laws of the Hong Kong Special Administrative Region, subject to any mandatory protection available under the law that applies to you. The courts of Hong Kong have non-exclusive jurisdiction. Consumers retain any right provided by mandatory law to use their local courts or other dispute-resolution process.

Contact contact@xpo8.com with a concern about xpo8.com so we can try to resolve it. Doing so does not prevent an urgent court application, a regulator complaint or the exercise of a statutory right, and it does not suspend a legal deadline. A company service may have different dispute terms; see its complete document below.

14

Updates, source copies and general provisions

The date at the top identifies the version of these corporate website terms. We may update them and will provide any notice required by applicable law. A new version does not retrospectively remove accrued rights or alter a separate service contract merely because it is published here.

The company documents below record the source URL, any displayed revision date and the date collected. Their text is reproduced for reference, with presentation and whitespace adapted for this page. The originating service may subsequently publish a newer version. For an existing transaction, check the version that formed part of your agreement; a newer source page does not automatically determine an earlier contract.

If a provision of these website terms is unenforceable, the remaining provisions continue to the extent the law permits. Failure to enforce a right immediately is not a waiver. These terms do not create a partnership, employment or agency relationship. Questions and notices concerning this website may be sent to contact@xpo8.com or our postal address above.

Legal Terms and conditions. Last updated: 2 May 2026 These Terms govern access to Carvaly's public website, authenticated valuation app, dealer workspaces, billing flows, and support channels. Carvaly is owned and operated by XPO8 Limited. Who we are Carvaly is owned and operated by XPO8 Limited. In these Terms, "Carvaly", "we", "us", and "our" refer to XPO8 Limited and the Carvaly product, website, app, valuation tools, dealer workspace, support channels, and related services. These Terms apply to carvaly.com, app.carvaly.com, and any other Carvaly-controlled website, application, product module, API, checkout path, support flow, or feature that links to these Terms. If a signed written agreement with XPO8 Limited covers the same subject matter, that written agreement controls for the conflicting part. Carvaly is a software and information service. We are not a vehicle seller, buyer, dealer, auction house, broker, inspection centre, finance company, insurer, escrow agent, logistics provider, legal adviser, tax adviser, or government authority unless we expressly agree to a separate role in a signed written agreement. Definitions In these Terms, "Service" means the Carvaly website, app, valuation tools, dealer workspace, billing flows, support channels, documentation, and related product modules. "Output" means valuations, price ranges, reports, uncertainty labels, stock metrics, margin estimates, alerts, summaries, and other content generated or displayed by the Service. "User Content" means information, files, photos, notes, listings, offers, vehicle inputs, organization records, feedback, and other material that you or your organization submit to Carvaly. "Organization" means a dealership, company, partnership, group, or workspace account that uses Carvaly through one or more authorized users. "Credits" means usage units shown in the product that may be consumed by valuations or other paid actions. Credits are not money, stored value, e-money, gift cards, securities, or transferable property, and they have no cash value unless applicable law requires otherwise. Acceptance of these Terms By visiting the website, creating an account, running a valuation, joining a dealer organization, purchasing credits, starting a subscription, contacting support, or otherwise using Carvaly, you agree to these Terms and our Privacy Policy. If you use Carvaly for a dealership, company, partnership, or other organization, you represent that you have authority to bind that organization. In that case, "you" includes both you personally and that organization. You must be at least 18 years old and capable of forming a legally binding contract to use Carvaly. You must not use Carvaly if you are prohibited from doing so under applicable law, sanctions rules, export controls, or a prior suspension by us. If you do not agree to these Terms, you must not access or use Carvaly. If you continue to use Carvaly after we publish or notify you of updated Terms, your continued use means you accept the updated Terms from the effective date stated in the update. What Carvaly provides Carvaly provides decision-support software for Malaysian used-car pricing. The service may include public product information, valuation workflows, saved valuation results, Carvaly listing features, fleet records, dealer organization tools, billing and credit management, and support channels. Carvaly may be used by individual buyers and sellers for personal valuation checks and by authorized dealer teams for internal commercial pricing, stock, fleet, and transaction workflows. Your permitted use depends on the plan, role, credits, organization permissions, and feature availability shown in the product. We may add, remove, rename, suspend, limit, or change features, workflows, pricing paths, geographic coverage, usage limits, and technical requirements as the product evolves. Carvaly may produce different results over time for the same vehicle because vehicle details, the valuation date, and product presentation can change. Historical output should not be treated as a promise that the same result will be available later. Limited access license Subject to these Terms and your continued compliance, XPO8 Limited grants you a limited, revocable, non-exclusive, non-transferable right to access and use Carvaly for your own personal vehicle-pricing checks or your organization's internal dealer workflows. Carvaly is licensed, not sold. We and our licensors retain all rights, title, and interest in the software, website, designs, databases, workflows, models, reports, brand assets, documentation, and other materials that make up the service. You may use Output internally for ordinary vehicle-pricing, stock, fleet, and transaction decisions. You may not present Output as an official appraisal, certified inspection, guaranteed sale price, guaranteed purchase price, lender-approved value, insurer-approved value, or XPO8 Limited endorsement. • You may not copy, resell, sublicense, lease, host, publish, mirror, or commercially exploit Carvaly output outside the product unless we have expressly permitted it in writing. • You may not reverse engineer, decompile, disassemble, scrape, crawl, bulk export, benchmark, model-train from, or build a competing service from Carvaly, except where applicable law gives you a non-waivable right. • You may not remove or obscure proprietary notices, security notices, source labels, disclaimers, or attribution displayed by Carvaly. • You may not use screenshots, exports, or reports to imply that Carvaly has inspected a vehicle, approved a transaction, verified ownership, certified mileage, or guaranteed a buyer or seller. Accounts, organizations, and access control You are responsible for maintaining accurate account information, protecting your login credentials, and all activity that occurs through your account unless caused by Carvaly's breach of these Terms or our security obligations. Authorized dealer organization contacts are responsible for inviting the right users, removing users who no longer need access, assigning roles, monitoring workspace activity, and ensuring that team members use Carvaly lawfully. If you believe an account, invite, API key, device session, organization role, or workspace has been compromised, you must notify us promptly and take reasonable steps to secure your systems. Authorized organization contacts may be able to view, export, manage, retain, or delete records created by users in that organization. If you join an organization with a work email or invitation, your use may be controlled by that organization and not only by you personally. We may require email verification, additional authentication, fraud checks, role confirmation, payment verification, or other access controls before allowing access to certain features. We may refuse, suspend, or limit access where account details appear inaccurate, risky, abusive, or unauthorized. Dealer organization responsibility Each organization is responsible for its own business decisions, user management, internal policies, staff training, permissions, customer communications, advertisements, vehicle disclosures, transaction documents, and compliance with laws that apply to its operations. If an authorized organization contact adds a user, that organization is responsible for the user's access to organization records until the user is removed or access is otherwise disabled. If a user leaves the dealership or changes role, the organization should remove or adjust access promptly. Carvaly may provide audit events, role labels, billing state, or workspace activity, but these tools do not replace the organization's own compliance, HR, accounting, customer-record, or operational controls. Vehicle inputs and data quality Carvaly relies on vehicle information you provide, on account and organization records, and on other information lawfully available to us. Inputs such as make, model, year, variant, mileage, condition, location, ownership history, service history, accident history, financing status, and listing details can materially affect output. Information available to us may be incomplete, delayed, stale, inaccurate, duplicated, withdrawn, incorrectly categorized, or affected by seller behavior, presentation, geographic imbalance, taxes, fees, promotions, demand shifts, and macroeconomic conditions. We may filter, normalize, enrich, or exclude information, but we do not guarantee that any particular record is captured or correct. You must not upload, submit, or rely on information that you know or should know is false, misleading, unlawful, confidential without authorization, infringing, malicious, or harmful to another person or business. An advertised asking price is not necessarily a sale price, transaction price, final negotiated price, trade-in price, wholesale price, financing-approved value, or insurance value. An advertised price may reflect seller expectations, promotional tactics, stock strategy, an out-of-date or duplicate advertisement, or incomplete vehicle condition information. Producing an estimate involves normalization and judgment across variants, locations, mileage bands, ages, and record quality. Estimation may not capture every trim difference, accessory, repair, modification, import detail, ownership detail, warranty, or local demand factor. Valuation disclaimer Carvaly valuations, ranges, reports, uncertainty labels, margin estimates, aging-stock cues, and other outputs are decision-support information only. They are not guaranteed prices, binding purchase offers, sale offers, appraisals, insurance valuations, financing advice, investment advice, tax advice, legal advice, or mechanical inspection reports. You remain responsible for checking vehicle condition, ownership, title and registration status, encumbrances, theft or police records, roadworthiness, mileage accuracy, flood or accident history, service records, import status, warranty status, taxes, financing terms, buyer and seller identity, and the final commercial terms of any transaction. Carvaly does not guarantee that a vehicle will sell, buy, trade, finance, insure, or appraise at any number shown in the product. You should use professional judgment and independent checks before making pricing, stocking, purchasing, lending, insurance, or sale decisions. Output may be less reliable for rare vehicles, heavily modified vehicles, imported units, commercial vehicles, vehicles with unusual mileage, vehicles with missing trim data, accident-damaged vehicles, flood-damaged vehicles, repossessed vehicles, write-offs, vehicles with incomplete documentation, or vehicles in thin market segments. Any uncertainty label or product signal is a decision aid. It is not a warranty that an estimate is complete, representative, current, independently verified, or suitable for your specific transaction. Billing, subscriptions, and credits Paid features, subscriptions, credit packs, top-ups, checkout pages, invoices, renewal terms, and plan limits are presented in the product or in written order terms. You authorize us and our payment processors to charge the payment method you provide for confirmed purchases, renewals, taxes, and applicable fees. Unless stated otherwise in the product, a successful valuation may consume one credit. Subscription credits may expire at the end of the relevant billing period. Top-up credits are intended to remain available until used, subject to account standing, fraud controls, service availability, and any plan-specific terms shown at purchase. Fees are non-refundable except where required by law or expressly approved by XPO8 Limited. We may suspend or limit paid features if payment fails, a subscription lapses, credits run out, a charge is disputed, we detect misuse, or we reasonably need to protect the service. Payment processing may be handled by third parties such as Stripe. Those providers may present their own terms and privacy notices. Carvaly does not store full card numbers where a payment processor tokenizes or stores the payment instrument. Unless the checkout page or written order says otherwise, subscriptions renew automatically for the billing period selected until cancelled. Cancellation normally stops future renewal; it does not automatically refund past charges, unused time, consumed credits, or unused credits unless required by law or expressly approved by us. Prices may be shown in Malaysian ringgit or another currency depending on the product path. Taxes, duties, withholding, bank fees, currency conversion fees, card issuer charges, and payment processor fees may be added or handled separately. You are responsible for taxes and fees that apply to your purchase or use of the Service unless we are legally required to collect and remit them. If you dispute a payment, reverse a charge, misuse credits, create duplicate accounts, bypass plan limits, or use automated activity to consume credits unfairly, we may suspend access, reverse credits, require payment verification, or terminate the relevant account or organization. Plan limits, fair use, and product controls Plans may include limits on users, organizations, valuations, saved records, credits, searches, exports, integrations, support level, storage, or other usage. We may enforce limits through technical controls, billing controls, throttling, manual review, or account restrictions. A plan described as unlimited, high-volume, or similar remains subject to fair use, security controls, infrastructure limits, product integrity controls, and these Terms. We may restrict usage that materially exceeds normal use, degrades the Service, creates operational or infrastructure risk, or appears automated, abusive, or resale-oriented. We may provide pilots, discounts, coupons, credits, or promotional pricing. These may be withdrawn, corrected, limited, or ended according to their stated terms or if we detect misuse, eligibility issues, or error. Acceptable use You must use Carvaly lawfully, responsibly, and in a way that does not harm the service, other users, or XPO8 Limited. You are responsible for ensuring that your use complies with vehicle, consumer protection, advertising, privacy, intellectual property, competition, anti-bribery, anti-fraud, export, tax, and other applicable laws. • Do not attempt unauthorized access, credential stuffing, session hijacking, security testing without written permission, rate-limit bypassing, or interference with Carvaly's systems. • Do not scrape, harvest, copy, cache, resell, publish, or redistribute protected Carvaly output or workspace data at scale. • Do not upload malicious code, spam, false listings, fake offers, manipulated mileage or condition data, misleading photos, or content that infringes another person's rights. • Do not use Carvaly to discriminate unlawfully, facilitate fraud, evade sanctions, launder money, misrepresent a vehicle, or mislead buyers, sellers, dealers, lenders, insurers, regulators, or consumers. • Do not impersonate another person, misstate your dealership or organization authority, or access another organization's records without permission. • Do not probe, scan, stress test, load test, vulnerability test, or security test Carvaly without our prior written permission. • Do not use bots, scripts, browser automation, shared credential pools, or account farms to bypass usage limits, consume credits, scrape data, or simulate product activity. • Do not submit personal data, government identifiers, financial documents, or sensitive details unless the product specifically asks for that information and you have a lawful basis to provide it. Your content and permissions You retain ownership of User Content that you or your organization submit to Carvaly, subject to the rights you grant us in these Terms and the rights your organization may have in its workspace records. You grant XPO8 Limited a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, analyze, transform, and otherwise use User Content as reasonably needed to provide, secure, support, maintain, improve, and enforce Carvaly. You represent that you have all rights and permissions needed to submit User Content and allow Carvaly to process it. This includes permissions for vehicle photos, listing descriptions, customer or seller details, organization records, and any third-party information included in notes or files. We may remove or restrict User Content if we reasonably believe it violates these Terms, infringes rights, creates legal risk, exposes personal data unnecessarily, threatens security, misleads users, or harms the Service. Third-party services, links, and providers Carvaly may interact with or link to third-party websites, payment processors, authentication services, hosting providers, analytics tools, communication systems, mapping services, and support tools. Those third parties are independent from XPO8 Limited unless expressly stated otherwise. Third-party availability, accuracy, terms, pricing, privacy practices, API changes, outages, or data restrictions may affect the Carvaly experience. We are not responsible for third-party websites or services that we do not control. If a third-party provider changes its terms, pricing, technical requirements, data access, API, website structure, anti-abuse rules, or availability, Carvaly features that depend on that provider may change or stop working. We are not liable for those third-party changes, even if they reduce the usefulness of a feature. You must comply with any third-party terms that apply to services you choose to use with Carvaly, including payment processor terms, authentication provider terms, and any communication tool terms. Cookies and similar technologies Carvaly may use cookies, local storage, session tokens, device identifiers, pixels, and similar technologies for login, account security, routing, preference storage, analytics, fraud prevention, product diagnostics, and marketing measurement where enabled. Some technologies are necessary for the service to work. You can control many browser-level cookies through your browser settings, but disabling necessary cookies may prevent login, checkout, workspace access, or saved preferences from working correctly. Security, misuse reports, and vulnerability handling We use technical and organizational measures intended to protect Carvaly, but no service can be perfectly secure. You must use reasonable security practices, including protecting devices, securing email accounts, using strong passwords, keeping access limited to authorized users, and promptly removing users who should no longer have access. If you discover a vulnerability, suspected breach, account compromise, exposed workspace record, payment issue, or misuse of the Service, report it promptly to support@carvaly.com or the security contact we provide in the product. Do not publicly disclose vulnerabilities, access data that is not yours, or disrupt the Service. We may investigate security reports, restrict accounts, rotate credentials, preserve logs, notify affected users where appropriate, and share information with service providers, law enforcement, regulators, or affected organizations where reasonably necessary. Electronic communications and notices You agree that Carvaly may communicate with you electronically through the product, email, support tools, account notices, billing notices, security notices, or postings on the website. Electronic communications satisfy any legal requirement that a communication be in writing to the extent permitted by law. You are responsible for keeping your account email address current. Notices sent to the last account email address, organization contact email, or support address you provided may be treated as received even if that address is no longer valid. We may send operational notices even if you opt out of marketing communications. Operational notices may include security alerts, billing notices, policy updates, account messages, product deprecation notices, and transaction workflow notifications. Intellectual property, feedback, and brand use Carvaly, the Carvaly name and logo, product designs, workflows, report layouts, software, models, databases, and documentation are owned by XPO8 Limited or its licensors. Third-party names, logos, and data remain the property of their respective owners. If you send us ideas, suggestions, bug reports, feature requests, improvements, or other feedback, you grant XPO8 Limited a perpetual, worldwide, royalty-free right to use that feedback without restriction or compensation, while we will continue to handle personal data according to the Privacy Policy. You may not use Carvaly's name, logo, screenshots, badges, or product output in public marketing, press releases, training material, resale offerings, or endorsements without our prior written permission. If you believe content in Carvaly infringes your intellectual property rights, send a notice to legal@carvaly.com with enough detail for us to identify the allegedly infringing content, the rights you claim, your contact details, and a statement that the information in your notice is accurate. We may remove or restrict content while we review the notice. Confidentiality and workspace records Your organization may store commercially sensitive records in Carvaly, including vehicle costs, target margins, inventory notes, offers, transaction statuses, and team activity. You are responsible for configuring access so that only authorized users can view or change those records. You must not disclose another user's non-public information, another organization's workspace records, or Carvaly's non-public technical, commercial, or security information unless you have authority to do so. Confidentiality obligations do not prevent disclosure required by law, court order, regulator request, or professional adviser duties, provided the disclosing party gives notice where legally permitted and takes reasonable steps to limit unnecessary disclosure. Availability, maintenance, and beta features We aim to operate Carvaly reliably, but the service may be interrupted, delayed, degraded, or unavailable because of maintenance, deployments, provider outages, security incidents, network failures, legal restrictions, upstream provider changes, force majeure events, or other causes. Some features may be labeled or treated as beta, preview, experimental, pilot, or early access. Those features may be less reliable, change more frequently, produce incomplete output, or be removed without notice. Unless a separate written service-level agreement applies, Carvaly does not commit to any minimum uptime, support response time, recovery time, data refresh interval, feature availability, or error-correction timeline. We may perform planned or emergency maintenance without notice where needed to protect security, reliability, legal compliance, or product integrity. Exports, records, and backups Carvaly may allow exports, reports, screenshots, or downloaded records in some plans. Exports may omit internal metadata, security logs, deleted records, proprietary calculations, internal processing details, or information that we cannot provide for legal, security, contractual, or privacy reasons. You are responsible for keeping your own business records, accounting records, transaction documents, customer communications, inspection records, and backups outside Carvaly where required for your operations or legal obligations. Backups are designed for disaster recovery and service continuity, not for user-directed archival retrieval. We do not guarantee that deleted records, previous versions, expired credits, or historical output can be restored. Suspension and termination You may stop using Carvaly at any time. Authorized organization contacts may remove users from their organization. We may suspend, limit, or terminate access if we reasonably believe that you violated these Terms, created legal or security risk, failed to pay, abused credits, submitted misleading data, infringed rights, or used the service in a way that harms Carvaly or others. After termination, your right to use Carvaly stops immediately. We may retain or delete records according to the Privacy Policy, product settings, legal duties, backup cycles, fraud-prevention needs, financial record requirements, dispute-resolution needs, and authorized organization instructions where applicable. Suspension or termination does not remove obligations that arose before suspension or termination, including payment obligations, confidentiality obligations, restrictions on misuse, indemnity obligations, liability limits, and provisions that by their nature should survive. Disclaimers To the maximum extent permitted by law, Carvaly is provided on an "as is" and "as available" basis. XPO8 Limited disclaims all warranties, representations, conditions, and guarantees not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted or error-free operation. We do not warrant that Carvaly will meet every business need, that every feature will remain available, that every valuation will be accurate, that every estimate will suit your situation, or that every error will be corrected. No employee, contractor, support representative, sales representative, website copy, demo, chat message, or product message creates a warranty or guarantee unless it is expressly included in a signed written agreement by XPO8 Limited. Limitation of liability To the maximum extent permitted by law, XPO8 Limited and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or loss-of-profit damages, loss of revenue, loss of goodwill, loss of data, vehicle transaction losses, missed deals, overpayment, underpricing, financing losses, or market movement, even if advised that those losses may occur. To the maximum extent permitted by law, XPO8 Limited's total aggregate liability for claims relating to Carvaly will not exceed the greater of the fees you paid to XPO8 Limited for the affected Carvaly service in the six months before the event giving rise to the claim or RM 500. This limit does not exclude liability that cannot be excluded or limited under applicable law. The limitations in this section apply regardless of the legal theory of liability, including contract, tort, negligence, strict liability, statutory duty, misrepresentation, restitution, or otherwise, and regardless of whether a remedy fails its essential purpose. Indemnity You agree to defend, indemnify, and hold harmless XPO8 Limited and its directors, officers, employees, contractors, affiliates, licensors, and service providers from claims, losses, liabilities, damages, penalties, costs, and expenses arising from your misuse of Carvaly, your violation of these Terms, your workspace content, your vehicle listings or offers, your transaction decisions, your violation of law, or your infringement of another person's rights. We may control the defence of any indemnified claim or require your reasonable cooperation. You must not settle a claim in a way that admits fault by XPO8 Limited, imposes obligations on XPO8 Limited, or affects the Service without our prior written consent. Force majeure XPO8 Limited is not responsible for delay or failure to perform caused by events outside our reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, government action, legal restrictions, labour disputes, internet or telecommunications failures, cloud provider incidents, payment network failures, upstream provider blocking or disruption, power failures, cyberattacks, or security emergencies. Changes to these Terms We may update these Terms from time to time. If changes are material, we may provide notice through the website, product, email, or another reasonable channel. The updated Terms will apply from the effective date stated in the updated version or, if no date is stated, from publication. Your continued use of Carvaly after an update takes effect means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using Carvaly before the update applies to you. We may also change product-specific terms, plan terms, pricing pages, credit rules, checkout terms, support terms, or feature documentation. Where those materials conflict with these Terms, the more specific product or order terms apply to that feature or purchase unless prohibited by law. Governing law and disputes Unless a separate written agreement states otherwise, these Terms are governed by the laws of Hong Kong, without regard to conflict-of-law rules. The courts of Hong Kong will have non-exclusive jurisdiction over disputes relating to these Terms or Carvaly, except where applicable consumer law gives you mandatory rights in another forum. Before starting formal proceedings, each party should make a reasonable good-faith effort to resolve the dispute by written notice and discussion. This does not prevent either party from seeking urgent injunctive or equitable relief where needed to protect rights, data, security, or confidential information. Claims must be brought individually and not as a class, representative, or collective proceeding to the maximum extent permitted by law. Nothing in this section limits non-waivable consumer rights or regulatory rights that apply to you. General terms These Terms, together with the Privacy Policy and any written order terms or product-specific terms that apply to you, form the agreement between you and XPO8 Limited for Carvaly. If any provision is invalid or unenforceable, the remaining provisions remain in effect and the invalid provision will be modified to the minimum extent necessary to make it enforceable where possible. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. XPO8 Limited may assign these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, or transfer of the Carvaly business. No waiver is effective unless in writing, and a delay in enforcement is not a waiver. Headings are for convenience only. The words "including" and "such as" mean "including without limitation". If these Terms are translated, the English version controls unless applicable law requires otherwise. Ia bukan harga terjamin, tawaran belian mengikat, tawaran jualan, penilaian rasmi, penilaian insurans, nasihat pembiayaan, nasihat pelaburan, nasihat cukai, nasihat undang-undang, atau laporan pemeriksaan mekanikal. Legal Terms and Conditions Please read these terms carefully before using UniExamFocus. By accessing or using our services, you agree to be bound by these terms. Last Updated: 12 September 2026Effective Date: 13 April 2026 1. Introduction and Acceptance of Terms UniExamFocus (uniexamfocus.com) is owned and operated by XPO8 Limited, a company incorporated in Hong Kong's Special Administrative Region. UniExamFocus provides online exam preparation services for university admission tests across multiple disciplines. The platform offers practice question banks, timed test simulations, performance analytics, community discussion features, leaderboards, and study coordination tools. By accessing, browsing, registering for an account, purchasing a subscription, or otherwise using the Site (collectively, "using the Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"), together with our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue all use of the Service. Continued use of the Service following any changes to these Terms constitutes your acceptance of such changes. 2. Definitions Throughout these Terms, the following definitions apply: • "Service" refers to the UniExamFocus platform, including the website, all test communities, question banks, test simulations, community features, and any related services provided by XPO8 Limited. • "Site" refers to the website located at uniexamfocus.com and all associated subdomains. • "User," "you," or "your" refers to any individual who accesses or uses the Service. • "Company," "we," "us," or "our" refers to XPO8 Limited. • "Test Community" refers to an individual exam preparation product on the platform (e.g., Bocconi, TOLC-I), each of which is sold and accessed separately. • "Account" refers to a registered user profile on the Service. • "Content" refers to all materials on the Service including questions, explanations, test simulations, text, images, graphics, logos, and software. • "User Content" refers to any content posted by users in community features, including discussion threads, comments, and profile information. • "Subscription" refers to a paid plan that grants access to a specific Test Community. 3. Important Disclaimer: No Affiliation Please read this section carefully. UniExamFocus is an independent educational tool designed to help students prepare for university admission exams. The Service is not affiliated with, endorsed by, or connected to any of the following organisations: • CISIA (Consorzio Interuniversitario Sistemi Integrati per l'Accesso) — the entity that creates and administers TOLC exams • Bocconi University — or any other university that uses admission testing • Any government body, educational authority, or exam administration organisation All practice tests, questions, and simulations on this Site are original materials created by XPO8 Limited and its content team for educational practice purposes. They do not constitute actual exam questions and should not be represented as such. Any resemblance to actual exam content is coincidental or falls within fair use for educational commentary and criticism. Exam names such as "TOLC-I," "TOLC-E," "TOLC-B," and "Bocconi Admission Test" are used solely for identification purposes and to describe the type of preparation offered. Use of these names does not imply endorsement or affiliation. 4. Eligibility and Capacity By using the Service, you represent and warrant that: • Age: You are at least 18 years of age. If you are between 16 and 18 years old, you may use the Service only with the valid consent of a parent or legal guardian who has read and accepted these Terms on your behalf. Users under 16 are not permitted to use the Service. • Legal Capacity: You have the full legal capacity and authority to enter into a binding agreement under the laws of your jurisdiction. • Compliance: Your use of the Service does not violate any applicable laws, regulations, or third-party rights in your jurisdiction. • Accuracy: All information you provide during registration and use of the Service is truthful, accurate, and complete. 5. User Account and Registration 5.1 Account Creation To access the question databases, practice tests, community features, and other paid features of the Service, you must create an account by providing a valid email address and creating a password. You agree to provide accurate, current, and complete information during registration and to keep your account information updated at all times. 5.2 Account Security You are solely responsible for maintaining the confidentiality of your account credentials (email and password). You accept full responsibility for all activities that occur under your account, whether or not authorised by you. You must notify us immediately at contact@uniexamfocus.com if you become aware of any unauthorised use of your account or any other breach of security. 5.3 Account Sharing Prohibition Account sharing is strictly prohibited. Each account constitutes a single-user licence. The Company reserves the right to immediately suspend or terminate, without prior notice or refund, any account that shows evidence of simultaneous access from multiple IP addresses, devices, or geographic locations, or any other activity indicating that the account is being shared with unauthorised parties. 5.4 Separate Access Per Test Community Each Test Community on UniExamFocus is a separate, independently sold product. Purchasing a subscription to one Test Community (e.g., Bocconi) does not grant access to any other Test Community (e.g., TOLC-I). Access rights, question banks, simulations, and community features are isolated on a per-community basis. 5.5 One Account Per User Each individual may maintain only one account on the Service. Creating multiple accounts to circumvent restrictions, exploit promotions, or abuse the Score Improvement Guarantee is strictly prohibited and grounds for immediate termination of all associated accounts without refund. 6. Intellectual Property Rights 6.1 Ownership All Content on the Service — including but not limited to question databases, practice tests, test simulations, answer explanations, performance analytics algorithms, text, graphics, logos, icons, images, audio, video, software code, and the overall design and compilation of the Service — is the exclusive property of XPO8 Limited or its licensors and content suppliers. All Content is protected by the laws of the Hong Kong Special Administrative Region and international intellectual property treaties, including but not limited to the Copyright Ordinance (Cap. 528), the Trade Marks Ordinance (Cap. 559), and the Berne Convention for the Protection of Literary and Artistic Works. 6.2 Limited Licence Subject to your compliance with these Terms and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for your personal, non-commercial, educational purposes. 6.3 Restrictions You expressly agree not to: • Copy, reproduce, distribute, transmit, broadcast, display, sell, license, publish, or create derivative works from any portion of the Content, question databases, or practice tests • Use any automated means, including bots, crawlers, spiders, scrapers, or data mining tools, to access, collect, or extract data from the Service • Reverse engineer, decompile, disassemble, decrypt, or attempt to derive the source code of any software component of the Service • Share, screenshot, photograph, record, or otherwise reproduce any Content — including individual questions, answer explanations, or test results — on public forums, social media platforms, messaging applications, or with any third party • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices contained in or on the Service • Frame, mirror, or create links to any portion of the Service without prior written consent • Use the Service or Content to develop a competing product or service 7. Products and Services 7.1 Test Communities UniExamFocus offers the following Test Community products, each sold and accessed independently: BocconiEnglish-language admission test preparation Bocconi ItaliaItalian-language admission test preparation CEnT-SEnglish STEM admissions preparation TOLC-IEngineering admissions preparation TOLC-EEconomics admissions preparation TOLC-BBiology admissions preparation TOLC-FPharmacy admissions preparation TOLC-AVAgraria e Veterinaria admissions preparation TOLC-PSIPsychology admissions preparation TOLC-LPProfessional degree admissions preparation 7.2 Features Included Each Test Community subscription may include, depending on plan level: • Access to a dedicated question bank with thousands of practice questions, organised by topic and difficulty • Timed test simulations that mirror the format, duration, and scoring methodology of the target exam • Detailed, step-by-step answer explanations for every question • Performance analytics including score tracking, category-level breakdowns, and progress monitoring • Community discussion channels with topic-specific threads • Leaderboard and reputation system to track relative performance • Calendar and meetup coordination features for study groups • Test history with full review of past attempts 7.3 Service Modifications The Company reserves the right to modify, update, or discontinue any aspect of the Service — including features, question content, and community tools — at any time without prior notice. The Company shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service. 8. Payments, Subscriptions, and Pricing 8.1 Pricing and checkout totals Each Test Community displays its current base offer and billing interval. Stripe Checkout shows the final total, any tax, and the payment currency available for that checkout before you pay. Existing subscriptions keep the price and interval recorded when sold; later catalog changes apply to new checkouts and do not by themselves reprice an existing subscription. 8.2 Seller and payment relationship The checkout and payment receipt identify the seller for each transaction. When Stripe, Link, or a Stripe affiliate is identified as the seller or merchant of record, that party provides the transaction receipt and handles transaction support, including available refund and payment-dispute routes. UniExamFocus, operated by XPO8 Limited, provides the exam-preparation product, account access, and product support. Older standard Stripe purchases may identify XPO8 Limited as the seller and Stripe only as the payment processor. We do not store complete payment-card numbers on our servers. 8.3 Automatic renewal A recurring subscription renews on the interval and price shown in its sold terms and current Stripe subscription, until it ends or a cancellation takes effect. By purchasing a recurring subscription, you authorise the seller identified at checkout to charge the selected payment method for those renewals. 8.4 Cancellation You may schedule cancellation from the subscription page, including while a payment is past due. A scheduled cancellation takes effect at the end of the current billing period, and you may resume it before it takes effect when Stripe still permits that action. Cancellation stops future renewals; it does not by itself decide whether a transaction qualifies for a refund. If the in-app control is unavailable, contact contact@uniexamfocus.com for product support. 8.5 Failed or processing payments Active and past-due subscribers can use the subscription page to manage their payment method. Access may remain pending or change only after Stripe confirms the payment state and UniExamFocus reconciles it. Do not start another purchase while the checkout status page says a payment or access activation is still processing. 8.6 Receipts Keep the Stripe or Link receipt for transaction, tax, currency, refund, and payment-dispute support. UniExamFocus account and onboarding messages confirm product access; they are not replacement tax invoices or provider receipts. 9. Refund and Transaction Support Cancellation, transaction refunds, and the Score Improvement Guarantee are separate processes. The seller and support route shown on your receipt govern transaction refund requests, alongside any rights that cannot be limited by these Terms. 9.1 Choose the receipt support route For a Managed Payments purchase where Stripe, Link, or a Stripe affiliate is identified as the seller, use the transaction-support route in the receipt or Link account. For a legacy standard purchase identifying XPO8 Limited as the seller, contact contact@uniexamfocus.com with the receipt date and product. The conditional Score Improvement Guarantee has its own requirements in Section 10. 9.2 Non-use or a different product Non-use or choosing a different Test Community does not by itself satisfy the Score Improvement Guarantee. This statement does not replace any refund or dispute option made available by the seller, payment provider, or applicable mandatory rules. 9.3 Product access issues If a verified payment has not produced access, contact UniExamFocus product support and include the non-sensitive UEF reference from the checkout status page. Do not send a full card number, payment credentials, or a Checkout Session URL. Product support can investigate access; the receipt support route remains responsible for transaction refund handling where it identifies another seller. 9.4 Payment disputes You may use the support and dispute options made available by the seller or payment provider and any rights available to you. Contacting UniExamFocus can help resolve product-access facts, but it is not presented as the only route or as a prerequisite when another transaction-support route applies. Good-faith use of an available dispute process is not, by itself, account abuse. 10. Score Improvement Guarantee (Conditional Refund) For refund requests under this guarantee, email: refunds@uniexamfocus.com Customers may qualify for a full refund of the subscription fee for a specific Test Community under the Score Improvement Guarantee, strictly subject to all of the following conditions being met. This guarantee applies independently to each Test Community product purchased. 10.1 Completion Requirement You must have correctly answered every single question in the relevant Test Community's question bank. "Correctly completed" means achieving a correct answer on every question, without exception. The Company may request in-app completion data as proof. 10.2 Official Test Proof (Before and After) To qualify, you must submit: • Proof of an official exam result obtained before purchasing the subscription — an official test receipt, score certificate, or verifiable result from the exam administrator (e.g., CISIA, Bocconi University) • Proof of an official exam result obtained after purchase showing no improvement in score Only official certificates, receipts, or reports directly from the exam administrator are accepted. Screenshots, self-reported scores, unofficial estimates, or results from third-party platforms are not accepted. 10.3 Minimum Preparation Period At least 21 consecutive calendar days must elapse between the date of purchase and the date of the second official exam. Official exams taken before day 21 do not qualify for the guarantee. 10.4 No Improvement Condition A refund is only issued if the score on the second official exam is equal to or lower than the score on the exam taken before purchase. Any improvement in score, regardless of how small, disqualifies the claim. 10.5 One Claim Per Customer Per Product Only one guarantee claim per customer per Test Community is permitted. Subsequent claims relating to the same account, payment method, email address, device, or individual are automatically rejected. 10.6 Submission Deadline and Required Documentation Claims must be submitted within 14 calendar days of receiving the second official exam result. Late submissions are not accepted. Your submission must include: • Proof of payment (receipt or transaction confirmation) • Official result from the exam taken before purchase • Official result from the exam taken after purchase • Evidence of completing all questions in the relevant Test Community Refund approval remains at the Company's sole discretion, subject to independent verification of all submitted documentation. 10.7 Exclusions The Score Improvement Guarantee does not apply to: • Customers who have not correctly completed all questions in the relevant Test Community • Customers unable to provide valid, verifiable official documentation • Official exams taken fewer than 21 days after purchase • Results that are unofficial, altered, illegible, expired, or otherwise unverifiable • Users operating multiple accounts or suspected of guarantee abuse or fraud • Subscriptions obtained through promotional offers, giveaways, or free access codes 11. User Conduct and Prohibited Use You agree to use the Service only for lawful purposes and in accordance with these Terms. You specifically agree not to: • Violate any applicable local, national, or international law or regulation • Interfere with, disrupt, or place an undue burden on the Service's servers, networks, or infrastructure • Attempt to gain unauthorised access to any part of the Service, other user accounts, or any connected systems or networks • Use the Service to harass, abuse, threaten, defame, or discriminate against any individual or group • Upload, transmit, or distribute any viruses, worms, trojans, malware, or other harmful or malicious code • Post or distribute spam, unsolicited advertising, or promotional material through community features • Impersonate any person or entity, or falsely represent your affiliation with any person or entity • Manipulate leaderboard rankings, reputation scores, or any gamification elements through fraudulent activity • Create fake accounts, fake reviews, or artificially inflate engagement metrics • Use the Service to collect or harvest personal data of other users without their consent • Circumvent, disable, or interfere with any security features of the Service The Company reserves the right to investigate and take appropriate legal action against anyone who, in the Company's sole discretion, violates this section, including removing offending content, suspending or terminating accounts, and reporting violations to law enforcement authorities. 12. Community Features and User Content 12.1 Community Features UniExamFocus provides community features within each Test Community, including but not limited to: discussion channels organised by topic, threaded discussions, comments, a reputation and points system, leaderboards, meetup coordination, and calendar events. 12.2 User Content Licence By posting User Content through community features, you grant XPO8 Limited a non-exclusive, worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the Service. You retain ownership of your User Content, but this licence allows us to operate and improve the Service. 12.3 Content Standards All User Content must comply with the following standards. Content must not: • Be unlawful, threatening, abusive, harassing, defamatory, or discriminatory • Contain real exam questions or answers from official exams • Infringe on any intellectual property rights of any third party • Contain personal information of other users or third parties without consent • Be misleading, deceptive, or constitute academic dishonesty • Contain commercial solicitation, spam, or advertising 12.4 Moderation The Company reserves the right, but has no obligation, to monitor, edit, or remove any User Content at its sole discretion, for any reason, including but not limited to violation of these content standards. The Company is not responsible for any User Content posted by users. 13. Warranty Disclaimers The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law (including the Supply of Services (Implied Terms) Ordinance, Cap. 457 and the Sale of Goods Ordinance, Cap. 26 of the laws of Hong Kong), XPO8 Limited expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to: • Educational Outcomes: Except for the conditional refund programme in Section 10, the Company makes no guarantee that the Service will meet your specific educational needs, improve your exam performance, or result in admission to any educational institution. Individual results depend on numerous factors beyond the Company's control. • Content Accuracy: While the Company strives to maintain high-quality, accurate content, it does not warrant that questions, answers, explanations, scoring algorithms, or other educational materials are free from errors, omissions, or inaccuracies across any Test Community. • Service Availability: The Company does not guarantee that the Service will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components. The Service may be subject to scheduled or unscheduled downtime for maintenance, updates, or other reasons. • Compatibility: The Company does not warrant that the Service will be compatible with all devices, browsers, or operating systems. • Third-Party Services: The Company is not responsible for the availability, accuracy, or reliability of any third-party services integrated with or linked from the Service, including payment processors. 14. Limitation of Liability To the maximum extent permitted by applicable law, including the Control of Exemption Clauses Ordinance (Cap. 71) of the laws of Hong Kong: XPO8 Limited, its directors, officers, employees, affiliates, agents, contractors, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to: • Loss of profits, revenue, data, goodwill, or other intangible losses • Your use of or inability to use the Service or any Test Community • Failure to pass any exam or gain admission to any educational institution • Unauthorised access to, alteration of, or deletion of your data or account • Statements or conduct of any third party on the Service, including in community features • Purchasing access to the wrong Test Community product • Any errors, inaccuracies, or omissions in Content or educational materials • Any interruption, suspension, or termination of the Service Total Liability Cap: In no event shall the Company's total aggregate liability to you for all claims arising from or relating to the Service exceed the total amount you have paid to the Company in the six (6) months immediately preceding the event giving rise to the claim. The limitations of liability in this section apply regardless of the legal theory on which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if the Company has been advised of the possibility of such damages. 15. Indemnification You agree to defend, indemnify, and hold harmless XPO8 Limited, its directors, officers, employees, affiliates, agents, contractors, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees and costs) arising from or relating to: • Your access to or use of the Service, including any Test Community • Your violation of any provision of these Terms • Your violation of any applicable law or regulation • Your violation of any rights of any third party, including intellectual property rights, privacy rights, or publicity rights • Any User Content you post or submit through the Service • Any dispute between you and another user of the Service This indemnification obligation will survive the termination of your account and these Terms. 16. Personal Data and Privacy Your personal data is collected, processed, and stored in accordance with our Privacy Policy and the Personal Data (Privacy) Ordinance (Cap. 486) of the laws of Hong Kong. By using the Service, you consent to the collection and processing of your personal data as described in the Privacy Policy. You warrant that all personal data you provide is accurate, complete, and current, and you agree to update your information promptly if it changes. The Company implements appropriate technical and organisational measures to protect your personal data against unauthorised access, alteration, disclosure, or destruction. 17. Termination 17.1 Termination by the Company The Company may terminate or suspend your account and access to any or all Test Communities immediately, without prior notice or liability, at its sole discretion, for any reason, including but not limited to: violation of these Terms, suspected fraudulent activity, account sharing, or abusive behaviour in community features. 17.2 Effect of Termination Upon termination, your right to use the Service ceases immediately across all Test Communities. The Company is not obligated to maintain or provide access to your account data, User Content, test history, or any other information associated with your account following termination. 17.3 Termination by You You may close your account at any time by contacting contact@uniexamfocus.com. Account closure does not itself create or waive refund eligibility; Section 9 explains the transaction-support routes, and Section 10 explains the separate conditional guarantee. 17.4 Survival The following sections survive termination of these Terms: Intellectual Property Rights (Section 6), Refund Policy (Section 9), Warranty Disclaimers (Section 13), Limitation of Liability (Section 14), Indemnification (Section 15), Applicable Law and Dispute Resolution (Section 18), and any other provisions that by their nature should survive termination. 18. Applicable Law and Dispute Resolution 18.1 Governing Law These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without giving effect to any principles of conflicts of law. 18.2 Jurisdiction You irrevocably submit to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region for the resolution of any dispute or claim arising out of or in connection with these Terms. 18.3 Support and Resolution Routes You may contact the Company at contact@uniexamfocus.com to resolve product or access issues. This support route does not replace transaction support or dispute options supplied by the seller identified on your receipt, and it is not presented as the only route available to you. 19. Amendments to Terms The Company reserves the right to modify, amend, or replace these Terms at any time. For substantive changes that materially affect your rights or obligations, the Company will make reasonable efforts to provide at least 30 days' notice before the revised Terms take effect. Notice may be provided by email, in-app notification, or by posting a prominent notice on the Site. What constitutes a "substantive change" remains at the Company's sole discretion. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service. 20. Severability If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect. 21. No Waiver The Company's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorised representative of the Company. 22. Entire Agreement These Terms, together with the Privacy Policy and any other legal notices or agreements published by the Company on the Service, constitute the entire agreement between you and XPO8 Limited regarding your use of the Service. These Terms supersede any prior agreements, understandings, or representations, whether written or oral, relating to the subject matter hereof. 23. Vayfora is a brand, product, and service of XPO8 Limited, which owns and operates it and everything described in these Terms as ours. 1. Agreement and acceptance In these Terms, “Vayfora,” “we,” “us,” and “our” mean XPO8 Limited. “You” means the person using the Service and, where that person acts for a company or other organization, that organization; both are bound jointly and severally. You accept these Terms when you create an account, submit a website for scanning, complete a checkout, or otherwise use the Service, whichever happens first. If you do not accept them, you must not use the Service. Where documents conflict, the following order controls, and only to the extent of the direct conflict: (a) a signed written agreement between you and XPO8 Limited; (b) the terms presented to you at checkout for the specific purchase; (c) these Terms; (d) our Privacy Policy, which controls how personal data is handled; and (e) any other documentation, guide, or marketing material, which is descriptive only and does not create obligations. 2. Definitions “Service” means the Vayfora websites, scan, reports, migration workflow, generated or converted website files, previews, managed hosting, forms, analytics, monitoring, dashboard, billing, support, and related features. “Source Website” means the website you ask us to scan or migrate. “Migrated Website” means the version produced or hosted through the Service. “Preview” means the pre-launch version of a Migrated Website we make available for your review. “Output” means reports, estimates, detected issues, generated code, previews, analytics, and other results from the Service. “User Content” means content, data, instructions, communications, domain information, and other material you or a person using your website provides through the Service. “Platform Materials” means the software, infrastructure, tooling, templates, scan and migration engines, quality checks, designs, documentation, and know-how we use to provide the Service. 3. Eligibility and authority You must be at least 18 and able to form a binding contract. If you use the Service for an organization or a website owner, you represent and warrant that you are authorized to bind it and to take every action you request through the Service. You may not use the Service if applicable law prohibits you from doing so, if you are subject to sanctions or located in a sanctioned territory, or if we have previously suspended or terminated you for misuse. 4. What Vayfora provides Vayfora evaluates eligible public websites, prepares migration and savings reports, reproduces supported sites, performs automated and human-reviewable quality checks, creates a Preview, and provides managed static hosting. Hosting may include a global content-delivery network, SSL, converted simple forms, traffic analytics, and uptime monitoring. You review the Preview before directing your domain to the Migrated Website. The Service is software and managed hosting, and nothing more. We are not your registrar, web-design agency, legal adviser, accessibility auditor, tax adviser, advertising agency, data backup service, or the provider of the Source Website. Unless separately agreed in writing, the Service does not include an editor, a content-management system, content writing, ongoing design work, continuous synchronization with the Source Website, a search-ranking outcome, or management of your registrar account. No statement made in marketing material, a report, a sales conversation, or support correspondence adds a feature, commitment, or service level to these Terms. 5. Website eligibility and scan results The Service is intended for public brochure, portfolio, informational, and similar websites whose visible experience can be reproduced as static files. Simple forms and supported media embeds may be converted. Stores, memberships, account areas, private content, databases, complex booking systems, and other applications that depend on an unsupported backend are outside the Service unless we agree otherwise in writing. We decide, acting reasonably, whether a Source Website is eligible, and we may determine at any point in the workflow that it is not. A free scan is an estimate based on public information available when it runs. It may not find every page, asset, dependency, integration, accessibility issue, legal issue, or source-hosting cost. Eligibility, page count, projected savings, performance, and compatibility results are informational only, may change after deeper migration work, and are not a quote, a warranty, or a commitment to migrate. A scan is not a security, legal, accessibility, or compliance audit, and you must not rely on it as one. 6. Your authority and responsibilities You represent and warrant, on each occasion you use the Service, that you own the Source Website or hold all permissions needed to ask us to access, reproduce, modify, migrate, host, and display it. This includes its text, code, images, fonts, media, trademarks, databases or feeds exposed publicly, and other materials. You are responsible for the accuracy of your ownership authorization and for any third-party licenses, attribution, consent, or notices the website requires. You remain responsible for User Content, your business, your website’s accuracy and legality, consumer disclosures, accessibility obligations, privacy notices and consent, cookie controls where required, products and services advertised, intellectual-property permissions, and responses to website visitors. Where visitor information is collected through a website we host for you, you are the party that decides why and how it is collected, as described in our Privacy Policy. You must review the Preview before the Migrated Website goes live and tell us promptly about material errors you find. Keep the Source Website and its hosting available until the migration has passed review and your domain is successfully connected. You are responsible for access to your registrar and DNS account, renewing your domain, and making the DNS changes we provide. Your domain remains with your registrar, and we never take ownership of it. 7. License you grant us You retain ownership of User Content and any rights you have in the Source Website. You grant XPO8 Limited a worldwide, non-exclusive, royalty-free, sublicensable license to access, crawl, download, copy, store, modify, convert, test, transmit, display, and host User Content as reasonably needed to evaluate the Source Website, provide and secure the Service, create backups and recovery material, resolve support issues, and enforce these Terms. The license ends when it is no longer needed for those purposes, subject to legal retention and backup cycles. The sublicense right extends only to the providers we use to deliver the Service. If User Content includes another person’s information or work, you represent and warrant that you have a lawful basis and all permissions needed to provide it and to allow this processing. We may remove, restrict, or refuse to process material that we reasonably believe is unlawful, infringing, unsafe, misleading, or unauthorized, without liability to you. 8. Accounts and security You must provide accurate account and billing information, keep it current, protect your credentials and email account, and notify us promptly of suspected unauthorized access. You are responsible for all activity through your account, except to the extent it is caused by our breach of these Terms or by conduct for which we are liable under applicable law. We may require verification or additional security checks before allowing sensitive account, billing, refund, domain, or hosting actions, and we may decline an action we cannot verify. 9. Migration, previews, domains, and go-live Payment starts the migration workflow. Automated conversion, browser testing, and AI-assisted repair may produce incomplete or incorrect results. We use quality checks and may place a migration into review, but you are the final reviewer of the Preview, and your decision to connect your domain is your confirmation that the Migrated Website is acceptable to you. Your Source Website remains on its existing host until you change the domain. DNS propagation, registrar controls, certificate validation, and third-party outages can delay launch even after the Preview is ready, and we are not responsible for those delays. The Migrated Website may differ internally from the Source Website while preserving the supported visible experience. Unsupported dynamic features may be removed, replaced, or flagged for review. Changes made to the Source Website after our scan are not copied to the Migrated Website. We give no commitment as to when a migration will complete. Any subdomain we allocate to you on a Vayfora domain is licensed to you for the term of your subscription and remains our property. We may reclaim, rename, or reassign it when your subscription ends or where it is required for security, legal, or abuse reasons. 10. Forms, analytics, and traffic measurement Supported forms may be converted to Vayfora-managed forms. Submissions are shown in your dashboard and notifications are sent to the recipient you configure. You are responsible for giving visitors an appropriate privacy notice, obtaining consent where required, responding to submissions, and avoiding requests for unnecessary sensitive information. Spam filtering and rate limits reduce abuse but cannot prevent every unwanted, malicious, or lost submission, and form delivery is not guaranteed. Form submissions are retained for the period stated in our Privacy Policy and are not an archive; export anything you need to keep. Traffic analytics and uptime figures are measurements from our systems, not audited statistics or a service-level guarantee. Analytics may be delayed, incomplete, or differ from another provider because measurement methods vary. Our server-side pageview ledger is the sole authoritative record for plan allowances and traffic-based billing, and it prevails over any other analytics source in the event of a discrepancy. 11. Plans and pricing Each website requires its own subscription unless signed written order terms say otherwise. Prices are in US dollars and are based on the billing interval, monthly pageview allowance, and site size shown at checkout. Monthly plans currently cover up to 3,000, 10,000, 30,000, or 100,000 pageviews. The first 500 assessed pages are included. Each additional started block of up to 500 assessed pages carries a large-site add-on of US$4.99 per month, or US$59.88 per year, shown at checkout. Annual base-plan prices are billed in advance and may reflect the discount displayed when you subscribe. Taxes and the total payable are shown at checkout where supported. The price and plan presented to you at checkout is the price and plan that applies. 12. Introductory offer New customers can subscribe their first website on a monthly plan for US$1.00 per month for the first 3 monthly billing periods, before applicable taxes. We charge that amount immediately and at the next 2 monthly renewals. The large-site add-on is included during those periods. From payment 4, the subscription renews at the then-selected plan’s regular monthly price, plus all applicable large-site page-block add-ons, as disclosed at checkout and in your dashboard. The offer is available once per customer and excludes existing customers and annual billing. Eligibility is used up when it is first applied at checkout, and it does not restart after cancellation, a refund, a failed or retried payment, an upgrade, another website, or another migration. Annual billing can be selected after the introductory offer ends. You can cancel before any renewal. 13. Plan allowances and automatic upgrades We measure pageviews by calendar month in UTC using the ledger described in Section 10. If traffic exceeds the current allowance, we may move the website to the appropriate higher published plan and immediately charge or invoice the prorated difference. You authorize that charge when you subscribe. During the introductory offer, manual and automatic plan upgrades preserve the introductory price without an additional prorated charge; the higher tier’s regular price applies when the offer ends. Plans only move up. Once a website moves to a higher tier, it stays on that tier and is not downgraded. We may notify you as usage approaches a limit, but delayed or missing notice does not prevent an upgrade you have authorized and is not a defense to the charge. We do not impose per-pageview overage charges. If traffic exceeds 100,000 monthly pageviews, the website will remain online while we contact you to agree suitable usage-based pricing; if no agreement is reached within 30 days of our first request, we may restrict, rate-limit, or suspend the website on reasonable notice. We may change prices or plan limits prospectively. Changes to an active subscription apply as stated in our notice or at a later renewal, except a traffic-based upgrade under the terms you have already accepted. 14. Billing, taxes, and payment disputes Subscriptions renew automatically for the interval you select until cancelled. You authorize us and Stripe to charge your payment method for the subscription, each renewal, taxes, the large-site add-on, and any plan upgrade under Section 13, and you must keep a valid payment method on file for as long as the subscription is active. Amounts are exclusive of taxes unless stated otherwise. You are responsible for all sales, use, value-added, goods and services, withholding, and similar taxes and duties, other than taxes on our net income. If you must withhold an amount by law, you will increase the payment so that we receive the full amount invoiced. All amounts are payable without set-off, counterclaim, deduction, or withholding. If you believe an amount is incorrect, contact us at contact@xpo8.com within 60 days of the charge so we can review it; after that period the charge is treated as accepted, except where applicable law provides otherwise. Raising a chargeback or payment dispute without first contacting us is a breach of these Terms, and we may suspend the account, recover the disputed amount and any associated fees, and terminate the Service. Payment failure, a chargeback, or an expired payment method may cause the account or hosting to be restricted or suspended after reasonable attempts to resolve it. 15. Cancellation and renewal You may cancel through your Vayfora dashboard. Cancellation stops the next renewal and takes effect at the end of the paid subscription period; hosting continues until then. Except where law requires otherwise, where Section 16 applies, or where we expressly agree in writing, cancellation does not refund charges already paid or time already used, and no partial-period credit is given. 16. Migration refund If we are unable to successfully migrate an eligible website, you may request a refund of the amount actually paid for that website’s initial subscription payment. During the introductory offer, that is the introductory amount actually charged, not the regular plan price. To claim, contact us at contact@xpo8.com within 30 days of that payment, identifying the website. We will assess the claim in good faith, and we may first attempt to repair or re-run the migration within a reasonable period. The refund is not available where the Migrated Website passed our quality checks and has been serving your domain, unless it contains a material defect we are unable to remedy within a reasonable period; where the failure is caused by your breach of these Terms, your lack of authority over the Source Website, or your failure to provide access or information we reasonably request; or where you simply change your mind. A completed refund cancels the subscription, ends the related hosting, and does not restore introductory-offer eligibility. This refund is your sole and exclusive remedy, and our entire liability, for a failed or unsatisfactory migration. It does not limit any right you have under applicable law that cannot lawfully be excluded. 17. Acceptable use You must not use the Service to: • copy or migrate a website without authority, infringe rights, break the law, deceive visitors, or distribute unlawful, abusive, or harmful material; • upload malicious code, conduct phishing or spam, collect data unlawfully, or request unnecessary sensitive information; • probe, scan, stress-test, bypass, disrupt, or gain unauthorized access to the Service or another customer’s account or data; • defeat rate limits, traffic measurement, plan limits, payment controls, security controls, or restrictions on unsupported features; • scrape, mirror, resell, sublicense, reverse engineer, decompile, or use the Service, Platform Materials, or non-public Output to build or assist a competing service, except where applicable law gives you a non-waivable right; • use automated activity that creates unreasonable load or materially degrades the Service for others; or • breach export-control, sanctions, or anti-corruption laws, or make the Service available to a person or territory subject to sanctions. We may investigate suspected breaches and remove or disable material or access without prior notice where necessary. You will cooperate reasonably with an investigation that concerns your account or website. 18. Copyright and content complaints If you believe material we host infringes your rights, send a notice to contact@xpo8.com identifying yourself, the material and its location, the right you rely on, and a statement that your complaint is made in good faith and is accurate. We may remove or disable access to material we reasonably believe is infringing or otherwise unlawful, notify the affected customer, accept a counter-notice, and terminate repeat infringers. Submitting a notice or counter-notice that you know to be false may expose you to liability. 19. Intellectual property and feedback The Service, the Vayfora name, logo, and brand, and all Platform Materials are owned by XPO8 Limited or its licensors, and all rights not expressly granted are reserved. These Terms give you only a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to use the Service while your account and subscription are in good standing. They transfer no intellectual property to you. Your ownership of User Content and your rights in the Source Website are unaffected, but the underlying platform, tooling, and infrastructure that render and serve a Migrated Website remain ours. If you provide suggestions, bug reports, or other feedback, you assign to us all rights in it and allow us to use it without restriction, attribution, or compensation. We will continue to handle personal data contained in feedback under our Privacy Policy. 20. Confidentiality Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential, including our pricing for non-public arrangements, security details, and unreleased features. The receiving party will use it only to perform under these Terms, protect it with at least reasonable care, and disclose it only to personnel and providers who need it and are bound by similar obligations. These duties do not apply to information that is public through no fault of the receiving party, was already known to it, is independently developed, or is lawfully received from a third party, and they do not prevent a disclosure required by law or a regulator, provided reasonable notice is given where lawful. This section survives for three years after the Service ends, and indefinitely for trade secrets. 21. Third-party services The Service depends on third parties for matters such as source website acquisition, cloud infrastructure, storage, content delivery, DNS and SSL, authentication, payments, email, analytics, and AI-assisted migration. Their availability, security, terms, prices, APIs, geographic coverage, or technical requirements may change and affect the Service, and we may substitute a provider at any time. We are not responsible or liable for independent websites or services we do not control, including any act, omission, outage, or data handling by them. You must comply with third-party terms that apply to services you choose to connect or use. 22. Service changes, beta features, and availability We may add, change, suspend, or remove features as the Service evolves. Features identified as beta, preview, early access, or free are provided as-is, may change or be withdrawn at any time without notice, and carry no warranty, support commitment, or liability beyond the minimum applicable law requires. The Service may be interrupted by maintenance, deployments, provider incidents, network or DNS failures, security events, legal restrictions, or circumstances outside our reasonable control. Unless a signed written agreement says otherwise, we do not promise any minimum uptime, support response time, recovery time, recovery point, migration completion date, or search-engine ranking, and no such commitment can be implied from past performance or from figures shown in the dashboard. 23. Suspension, termination, and data afterwards We may suspend, restrict, or terminate the Service if we reasonably believe you have breached these Terms, lack authority over a Source Website, failed to pay, created legal or security risk, infringed rights, abused the Service, or could harm another person, customer, provider, or XPO8 Limited. Where practical we will give notice and an opportunity to resolve the issue, but we may act immediately where necessary for security, law, or urgent harm prevention. We may also terminate for convenience on 30 days’ notice, in which case we will refund the unused portion of any prepaid subscription period for the affected website. You may terminate at any time under Section 15. When the Service ends, your right to use it ends, and we may remove the production domain mapping and stop serving the Migrated Website. Accrued amounts remain payable. You are responsible for moving your domain and preserving anything you need before service ends; backups exist for service recovery, not guaranteed export or archival storage. We may permanently delete website files, form submissions, and related content 30 days after termination, except where our Privacy Policy, a legal hold, or applicable law requires longer retention. Sections 2, 6, 7 (as to material already processed), 10 (as to the authoritative ledger), 14, 16, 19, 20, 24, 25, 26, 28, 29, and 30, and any other term that by its nature should survive, continue to apply after termination. 24. Disclaimers To the maximum extent permitted by law, the Service and Output are provided “as is” and “as available.” XPO8 Limited disclaims all warranties, representations, conditions, and guarantees not expressly stated in these Terms, whether express, implied, statutory, or arising from a course of dealing or trade usage, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, quiet enjoyment, uninterrupted availability, and error-free operation. We do not warrant that every Source Website can be migrated, that every element or third-party integration will work, that a Migrated Website will be identical in every implementation detail, that analytics or estimates will be complete or accurate, that the Service will be secure or free of harmful components, or that every defect will be corrected. You are responsible for determining whether the Service is suitable for your purposes. Nothing in this section excludes a promise expressly made in these Terms, including the migration refund in Section 16, or a right that cannot lawfully be excluded. 25. Limitation of liability To the maximum extent permitted by law, XPO8 Limited and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profit, revenue, goodwill, data, content, business opportunity, or anticipated savings; the cost of substitute services; or loss arising from your failure to retain the Source Website, renew a domain, review a Preview, preserve records, export data, or maintain required third-party access. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service, taken together and not per claim, will not exceed the greater of the fees you paid us for the affected website in the 12 months before the first event giving rise to liability and US$100. These limits apply regardless of the legal theory, apply to every claim arising from the same or connected facts as a single claim, and apply even if a remedy fails its essential purpose. You agree that these limitations are a fundamental basis of the bargain and that our pricing reflects them. Unless applicable law provides otherwise, you must bring any claim relating to the Service within 12 months after the claim first arose, and a claim brought later is permanently barred. Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or a non-waivable consumer right. 26. Indemnity To the extent permitted by law, you will defend, indemnify, and hold harmless XPO8 Limited and its directors, officers, employees, contractors, affiliates, licensors, and service providers from third-party claims, losses, liabilities, damages, penalties, fines, costs, and reasonable legal fees arising from your User Content, your lack of authority over a Source Website, your unlawful or infringing use of the Service, your breach of these Terms, or your violation of another person’s rights. We will notify you of a claim without undue delay, and you will cooperate reasonably with the defense. We may assume control of the defense at our expense, in which case you remain responsible for indemnified amounts. Neither party will settle a claim in a way that imposes a non-financial obligation or admission on the other without that party’s consent, which will not be unreasonably withheld. 27. Force majeure We are not responsible for delay or failure caused by events outside our reasonable control, including natural disasters, war, civil unrest, government action, labour disputes, internet, cloud, DNS, registrar, telecommunications, payment-network, or utility failures, upstream blocking, cyberattacks, epidemics, or security emergencies. If such an event continues for more than 30 days, either party may terminate the affected subscription on notice, and we will refund the unused portion of any prepaid period. 28. Notices and changes to these Terms You agree that we may send notices through the Service, by email to your account address, or by posting them on our website, and that a notice is deemed received when sent or posted. Keep your email address current. Operational, billing, security, and legal notices may be sent even if you opt out of marketing. Notices to us must be sent to contact@xpo8.com and are effective on receipt. We may update these Terms to reflect changes in the Service, providers, operations, prices, or law. If a change is material, we will give reasonable notice before it takes effect. Updated Terms apply from the stated effective date. If you do not agree, you must stop using the Service and cancel before that date; continued use after it means you accept the updated Terms to the extent permitted by law. Changes do not apply retroactively to a dispute that arose before the effective date. 29. Governing law and disputes These Terms and any dispute arising out of or in connection with them or the Service, including non-contractual disputes, are governed by the laws of Hong Kong, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The courts of Hong Kong have exclusive jurisdiction, and each party submits to that jurisdiction and waives any objection based on venue or forum. Before starting formal proceedings, each party will make a reasonable good-faith effort to resolve the dispute by written notice and discussion for at least 30 days. Either party may seek urgent injunctive or equitable relief at any time. Disputes will be resolved individually; to the extent permitted by law, neither party will bring a claim as a class or representative action. Nothing in this section limits a mandatory consumer or regulatory right, or a right to bring proceedings in a court that applicable law reserves to you. 30. General terms These Terms, our Privacy Policy, the terms presented at checkout, and any signed written order terms are the entire agreement between you and XPO8 Limited for the Service, and they replace all earlier proposals, representations, and understandings about it. You confirm that you are not relying on any statement outside them, except that nothing excludes liability for fraudulent misrepresentation. If a provision is invalid or unenforceable, it will be modified only as much as necessary to be enforceable, or severed if it cannot be, and the remaining provisions stay effective. You may not assign these Terms or any rights under them without our written consent, and any attempt to do so is void; we may assign them as part of a merger, financing, restructuring, acquisition, or sale of the business. We may use subcontractors and providers to perform our obligations and remain responsible for their performance under these Terms. Nothing creates a partnership, joint venture, agency, or employment relationship. There are no third-party beneficiaries, except that the parties indemnified under Section 26 and protected under Section 25 may rely on those sections. A delay or failure to enforce is not a waiver, and a waiver must be in writing to be effective. Headings are for convenience only, and “including” means “including without limitation.” The English version controls unless applicable law requires otherwise. 31. Contact and legal notices Send support questions, privacy requests, refund claims, and legal notices to contact@xpo8.com. For an account-specific request, include your account email and the relevant website or domain. XPO8 Limited 1603, The L. Plaza, 367–375 Queen’s Road Central, Sheung Wan, Hong Kong Island, Hong Kong

Limitation on Liability

To the maximum extent permitted by law, in no event shall company or our suppliers be liable to you or any third-party for any lost profits, lost data, costs of procurement of substitute products, or any indirect, consequential, exemplary, incidental, special or punitive damages arising from or relating to these terms or your use of, or incapability to use the site even if company has been advised of the possibility of such damages. Access to and use of the site is at your own discretion and risk, and you will be solely responsible for any damage to your device or computer system, or loss of data resulting therefrom.

To the maximum extent permitted by law, notwithstanding anything to the contrary contained herein, our liability to you for any damages arising from or related to this agreement, will at all times be limited to a maximum of fifty U.S. dollars (u.s. $50). The existence of more than one claim will not enlarge this limit. You agree that our suppliers will have no liability of any kind arising from or relating to this agreement.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.

Term and Termination. Subject to this Section, these Terms will remain in full force and effect while you use the Site. We may suspend or terminate your rights to use the Site at any time for any reason at our sole discretion, including for any use of the Site in violation of these Terms. Upon termination of your rights under these Terms, your Account and right to access and use the Site will terminate immediately. You understand that any termination of your Account may involve deletion of your User Content associated with your Account from our live databases. Company will not have any liability whatsoever to you for any termination of your rights under these Terms. Even after your rights under these Terms are terminated, the following provisions of these Terms will remain in effect: Sections 2 through 2.5, Section 3 and Sections 4 through 10.

Copyright Policy.

Company respects the intellectual property of others and asks that users of our Site do the same. In connection with our Site, we have adopted and implemented a policy respecting copyright law that provides for the removal of any infringing materials and for the termination of users of our online Site who are repeated infringers of intellectual property rights, including copyrights. If you believe that one of our users is, through the use of our Site, unlawfully infringing the copyright(s) in a work, and wish to have the allegedly infringing material removed, the following information in the form of a written notification (pursuant to 17 U.S.C. § 512(c)) must be provided to our designated Copyright Agent: your physical or electronic signature; identification of the copyrighted work(s) that you claim to have been infringed; identification of the material on our services that you claim is infringing and that you request us to remove; sufficient information to permit us to locate such material; your address, telephone number, and e-mail address; a statement that you have a good faith belief that use of the objectionable material is not authorized by the copyright owner, its agent, or under the law; and a statement that the information in the notification is accurate, and under penalty of perjury, that you are either the owner of the copyright that has allegedly been infringed or that you are authorized to act on behalf of the copyright owner. Please note that, pursuant to 17 U.S.C. § 512(f), any misrepresentation of material fact in a written notification automatically subjects the complaining party to liability for any damages, costs and attorney’s fees incurred by us in connection with the written notification and allegation of copyright infringement.

General

These Terms are subject to occasional revision, and if we make any substantial changes, we may notify you by sending you an e-mail to the last e-mail address you provided to us and/or by prominently posting notice of the changes on our Site. You are responsible for providing us with your most current e-mail address. In the event that the last e-mail address that you have provided us is not valid our dispatch of the e-mail containing such notice will nonetheless constitute effective notice of the changes described in the notice. Any changes to these Terms will be effective upon the earliest of thirty (30) calendar days following our dispatch of an e-mail notice to you or thirty (30) calendar days following our posting of notice of the changes on our Site. These changes will be effective immediately for new users of our Site. Continued use of our Site following notice of such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes. Dispute Resolution. Please read this Arbitration Agreement carefully. It is part of your contract with Company and affects your rights. It contains procedures for MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.

Applicability of Arbitration Agreement. All claims and disputes in connection with the Terms or the use of any product or service provided by the Company that cannot be resolved informally or in small claims court shall be resolved by binding arbitration on an individual basis under the terms of this Arbitration Agreement.  Unless otherwise agreed to, all arbitration proceedings shall be held in English.  This Arbitration Agreement applies to you and the Company, and to any subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns, as well as all authorized or unauthorized users or beneficiaries of services or goods provided under the Terms.

Notice Requirement and Informal Dispute Resolution. Before either party may seek arbitration, the party must first send to the other party a written Notice of Dispute describing the nature and basis of the claim or dispute, and the requested relief. A Notice to the Company should be sent to: Hong Kong. After the Notice is received, you and the Company may attempt to resolve the claim or dispute informally.  If you and the Company do not resolve the claim or dispute within thirty (30) days after the Notice is received, either party may begin an arbitration proceeding. The amount of any settlement offer made by any party may not be disclosed to the arbitrator until after the arbitrator has determined the amount of the award to which either party is entitled.

Arbitration Rules. Arbitration shall be initiated through the American Arbitration Association, an established alternative dispute resolution provider that offers arbitration as set forth in this section.  If AAA is not available to arbitrate, the parties shall agree to select an alternative ADR Provider.  The rules of the ADR Provider shall govern all aspects of the arbitration except to the extent such rules are in conflict with the Terms. The AAA Consumer Arbitration Rules governing the arbitration are available online at adr.org or by calling the AAA at 1-800-778-7879. The arbitration shall be conducted by a single, neutral arbitrator. Any claims or disputes where the total amount of the award sought is less than Ten Thousand U.S. Dollars (US $10,000.00) may be resolved through binding non-appearance-based arbitration, at the option of the party seeking relief. For claims or disputes where the total amount of the award sought is Ten Thousand U.S. Dollars (US $10,000.00) or more, the right to a hearing will be determined by the Arbitration Rules. Any hearing will be held in a location within 100 miles of your residence, unless you reside outside of the United States, and unless the parties agree otherwise.  If you reside outside of the U.S., the arbitrator shall give the parties reasonable notice of the date, time and place of any oral hearings. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. If the arbitrator grants you an award that is greater than the last settlement offer that the Company made to you prior to the initiation of arbitration, the Company will pay you the greater of the award or $2,500.00. Each party shall bear its own costs and disbursements arising out of the arbitration and shall pay an equal share of the fees and costs of the ADR Provider.

Additional Rules for Non-Appearance Based Arbitration. If non-appearance based arbitration is elected, the arbitration shall be conducted by telephone, online and/or based solely on written submissions; the specific manner shall be chosen by the party initiating the arbitration. The arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise agreed by the parties.

Time Limits. If you or the Company pursues arbitration, the arbitration action must be initiated and/or demanded within the statute of limitations and within any deadline imposed under the AAA Rules for the pertinent claim.

Authority of Arbitrator. If arbitration is initiated, the arbitrator will decide the rights and liabilities of you and the Company, and the dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim. The arbitrator shall have the authority to award monetary damages, and to grant any non-monetary remedy or relief available to an individual under applicable law, the AAA Rules, and the Terms. The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon you and the Company.

Waiver of Jury Trial. THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY, instead electing that all claims and disputes shall be resolved by arbitration under this Arbitration Agreement. Arbitration procedures are typically more limited, more efficient and less expensive than rules applicable in a court and are subject to very limited review by a court. In the event any litigation should arise between you and the Company in any state or federal court in a suit to vacate or enforce an arbitration award or otherwise, YOU AND THE COMPANY WAIVE ALL RIGHTS TO A JURY TRIAL, instead electing that the dispute be resolved by a judge.

Waiver of Class or Consolidated Actions. All claims and disputes within the scope of this arbitration agreement must be arbitrated or litigated on an individual basis and not on a class basis, and claims of more than one customer or user cannot be arbitrated or litigated jointly or consolidated with those of any other customer or user.

Confidentiality. All aspects of the arbitration proceeding shall be strictly confidential.  The parties agree to maintain confidentiality unless otherwise required by law. This paragraph shall not prevent a party from submitting to a court of law any information necessary to enforce this Agreement, to enforce an arbitration award, or to seek injunctive or equitable relief.

Severability. If any part or parts of this Arbitration Agreement are found under the law to be invalid or unenforceable by a court of competent jurisdiction, then such specific part or parts shall be of no force and effect and shall be severed and the remainder of the Agreement shall continue in full force and effect.

Right to Waive. Any or all of the rights and limitations set forth in this Arbitration Agreement may be waived by the party against whom the claim is asserted. Such waiver shall not waive or affect any other portion of this Arbitration Agreement.

Survival of Agreement. This Arbitration Agreement will survive the termination of your relationship with Company.

Small Claims Court. Nonetheless the foregoing, either you or the Company may bring an individual action in small claims court.

Emergency Equitable Relief. Anyhow the foregoing, either party may seek emergency equitable relief before a state or federal court in order to maintain the status quo pending arbitration. A request for interim measures shall not be deemed a waiver of any other rights or obligations under this Arbitration Agreement.

Claims Not Subject to Arbitration. Notwithstanding the foregoing, claims of defamation, violation of the Computer Fraud and Abuse Act, and infringement or misappropriation of the other party’s patent, copyright, trademark or trade secrets shall not be subject to this Arbitration Agreement.

In any circumstances where the foregoing Arbitration Agreement permits the parties to litigate in court, the parties hereby agree to submit to the personal jurisdiction of the courts located within Netherlands County, California, for such purposes.

Electronic Communications. The communications between you and Company use electronic means, whether you use the Site or send us emails, or whether Company posts notices on the Site or communicates with you via email. For contractual purposes, you (a) consent to receive communications from Company in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Company provides to you electronically satisfy any legal obligation that such communications would satisfy if it were be in a hard copy writing.

Entire Terms. These Terms constitute the entire agreement between you and us regarding the use of the Site. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. The word "including" means "including without limitation". If any provision of these Terms is held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. Your relationship to Company is that of an independent contractor, and neither party is an agent or partner of the other. These Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without Company’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. Company may freely assign these Terms. The terms and conditions set forth in these Terms shall be binding upon assignees.

Terms of service

The agreement for using padelduels

The terms that apply when you play, book, coach or list a centre on padelduels, which is run by XPO8 Limited. Last updated 28 September 2026.

1. Who we are

padelduels (the “Service”) is owned and operated by XPO8 Limited (“XPO8”, “we”, “us”), a company incorporated in Hong Kong, of 1603, The L. Plaza, 367–375 Queen's Road Central, Sheung Wan, Hong Kong Island, Hong Kong. You can contact us at contact@padelduels.com.

These Terms are a contract between you and XPO8. They apply to everyone who uses padelduels: players, hosts, coaches, and the centres that list courts together with their staff.

2. Definitions

Player: anyone with a player account, including hosts and coaches.

Host: a player who creates a game.

Centre: a padel venue approved to list courts on padelduels, acting through its owner and invited staff on a partner account.

Coach: a player whose coach listing we have approved.

Booking: a court reservation made on a centre's padelduels page.

Lesson: a coaching session a player requests on a coach's page and the coach accepts.

User Content: anything you add to the Service, such as profile details, games, results, messages, reports, reviews, listings and photos.

3. Accepting these Terms

You accept these Terms when you create an account, apply to list a centre, publish a coach listing, make a booking or lesson request, or otherwise use the Service. The community rules form part of these Terms, and the privacy policy explains how we handle personal data. If you do not agree, do not use padelduels.

If documents conflict, this order applies: a separate written agreement signed by XPO8, then these Terms, then the community rules, then any other information on the Service.

4. Who can use padelduels

You must be at least 16 and able to enter into a binding contract. You may not use the Service if sanctions law prohibits us from dealing with you, or if we have previously closed your account for breaking these Terms, unless we agree otherwise in writing.

If you apply for a centre or otherwise accept these Terms for a business, you confirm you are authorised to bind that business, and “you” includes it.

5. What padelduels provides

padelduels is software that helps people play padel. Players can find and host games, record results, follow skill ratings and leagues, message each other, book courts at partner centres and request lessons from coaches. Browsing public pages is free. The centre remains the seller for a court booking, and the coach remains the seller for a lesson. Some online court bookings include a booking fee for padelduels, as explained below.

We are not a party to games, bookings or lessons. We do not own or run venues, employ or supervise coaches, organise games, or screen the players who join them. A booking is a contract between you and the centre, and a lesson is a contract between you and the coach. We do not hold players' money: online payments go directly to the centre's or coach's own Stripe account.

6. Accounts and security

Player accounts and partner accounts are separate. A partner account manages a centre and cannot join games; a player account cannot enter the partner area.

Keep one player account per person and keep your details accurate. Do not share, sell or transfer your account.

Keep your password secure. You are responsible for activity on your account, and must tell us promptly at contact@padelduels.com if you think someone else has used it.

We may require you to change a username that impersonates someone, is offensive, or infringes someone else's rights.

7. Games, attendance and results

Hosts must describe games accurately: venue, time, format, level and any court cost. A game at a partner centre is not a booking; the host still books the court on the centre's page.

For games at other venues, players agree the court cost with the host and settle it between themselves. padelduels does not collect, hold or guarantee those payments.

Withdraw more than 24 hours before the start to avoid a penalty. A verified late withdrawal, late host cancellation or no-show leads to a seven-day participation restriction and skill and league deductions, as set out in the community rules. A game that has not filled by its start time is cancelled automatically.

Record results honestly. A disputed result needs the approval of every participant; otherwise the match becomes no contest.

Skill ratings, leagues and leaderboards are padelduels features for matching players. They are not official ratings from any padel federation or governing body. Your leaderboard city and country are those of your most recently played ranked game, or your home city before your first one.

We may correct results and reverse penalties to keep competition fair; ratings and standings can change as a result.

8. Court bookings

Each centre sets its courts, slot lengths, opening hours, prices, payment options and free-cancellation window. You see the price and the cancellation deadline before you confirm.

Prices are shown in the centre's currency and are not converted. Your card issuer may charge its own fees for foreign-currency payments.

If you pay online, the centre is the seller and Stripe processes the payment through the centre's account. When a booking fee applies, it is shown with the total before you pay, added to the court price, and allocated to padelduels by Stripe. Earlier bookings keep the fee arrangement shown when you booked. The slot is held while you pay and released if checkout is not completed in time.

If you pay at the centre, the booking is confirmed straight away and you pay the centre directly on its terms.

You can cancel a booking before it starts. Cancel before the free-cancellation deadline and the full amount paid online, including any booking fee shown at checkout, is refunded; cancel later and it is not refunded, unless the centre agrees or the law requires otherwise. If the centre cancels, any online payment is refunded in full. Refunds reach you on Stripe's and your card issuer's timescales.

The centre is responsible for the court, its facilities and its house rules. For changes, refunds or problems on the day, open the booking from My games and use Message the centre. Contact the centre before disputing a card payment.

Bookings and lessons are leisure services for a specific date and time. Where consumer law gives a right to withdraw from a contract within a set period, that right generally does not apply to such services, so the cancellation terms shown when you book apply instead. Nothing in these Terms removes rights you have by law.

9. Coaching lessons

Each coach sets their services, durations, prices, payment options and free-cancellation window.

You request a time and the lesson goes ahead only if the coach accepts. If you chose to pay online, you pay the coach through Stripe after acceptance, and the request expires if you do not pay in time. If you chose to pay in person, the lesson is confirmed on acceptance and you pay the coach directly.

The coach arranges the court unless you agree otherwise with them.

Cancel before the coach's free-cancellation deadline and an online payment is refunded in full; cancel later and it is not refunded. If the coach cancels, any online payment is refunded in full.

A lesson is marked completed automatically after it ends. A review from a player who completed a lesson with the coach is shown as verified.

Coaches are independent. We review listings before they are published, but we do not verify qualifications, certifications, background checks or insurance; those are the coach's own statements. The skill rating on a coach's page comes from their padelduels match history.

10. Payments and fees

Online payments are processed by Stripe. padelduels never sees your full card details. Centres and coaches that connect Stripe also accept Stripe's own terms, including its Connected Account Agreement.

When a booking fee applies to an online court booking, it is 1.1% of the court price and is shown with the total before you pay. The centre remains the seller and receives the court price before Stripe's processing fee; Stripe allocates the booking fee to padelduels. Earlier bookings keep the fee arrangement shown when you booked, so the customer booking fee does not apply to every online booking.

Stripe's processing fee applies to the gross customer payment, including any booking fee, and is paid by the centre. The centre's VAT rate applies to the entire VAT-inclusive total, including the booking fee; no additional tax is added on top. The fee and total shown before you pay will not change after you book.

For coaches, listing is free and lessons paid in person cost nothing. The existing coaching platform fee continues to be a percentage of the lesson price deducted from the online payment; the current rate is shown on your payments page. This court booking fee does not change coaching fees.

We may change the court booking fee rate by giving centres at least 15 days' notice. A new rate applies only to bookings made after it takes effect; the fee shown when you book will not change. We may change the coaching fee by giving coaches at least 15 days' notice, and the new rate applies to lesson payments made after it takes effect.

Centres and coaches are responsible for the taxes on their sales and for any receipts or invoices their customers are entitled to. Card disputes and chargebacks on their payments are handled in their own Stripe account.

11. Centres

We check that a centre is real and that the applicant is entitled to list it. We may approve, reject, suspend or reinstate a centre, recording a reason each time. Only approved centres are public. A centre's page address can only be changed by us.

Keep courts, opening hours, prices and availability accurate, and block hours you sell elsewhere so padelduels only offers what is free.

Honour confirmed bookings, and refund players as your stated cancellation terms and the law require.

You are responsible for running the venue safely and lawfully, including the licences, permits and insurance it needs, and for complying with consumer, tax, data protection and other laws that apply to your business.

The owner invites and removes staff and is responsible for what staff do on the centre's account. Remove staff access promptly when someone leaves.

Players' usernames and booking details are shared with you so you can run their bookings. Use them only for that and in line with data protection law.

12. Coaches

A player can publish one coach listing. New and resubmitted listings are reviewed before they appear, and we may approve, reject, suspend or reinstate a listing, recording a reason each time.

Describe yourself, your qualifications and your services accurately, and hold any qualifications, licences and insurance required where you teach.

Arrange courts for your lessons, follow the rules of the venues you use, and honour accepted lessons and your stated cancellation terms.

You are an independent business, not an employee, agent or partner of XPO8, and you are responsible for the tax on your earnings.

Do not review yourself, and do not offer anything in return for reviews.

13. How centres and coaches are ordered

Centres are listed by distance from the area searched, then by name. Coaches are listed by average review rating, then by number of reviews. No one can pay for a higher position.

14. Your content

You keep ownership of your User Content. You grant XPO8 a worldwide, non-exclusive, royalty-free licence to host, store, copy, display, adapt (for example, resize photos) and share it as needed to run, secure, promote and improve the Service. The licence lasts while the content is on the Service, and afterwards only as needed for the records described in the privacy policy.

You confirm you have the rights to what you upload and that it does not break the law or anyone else's rights.

Centre and coach pages, and the venue, time, format, level, price and open places of public games, are visible to anyone. Player profiles are visible to signed-in members.

Reviews must reflect a genuine experience. We may remove fake, paid or abusive reviews.

We may remove or restrict content that breaks these Terms or the law.

15. Acceptable use

Follow the community rules. In particular, do not:

harass, threaten or discriminate against anyone, or impersonate another person or business;

create false games, results, attendance reports or reviews, or use more than one account to affect ratings or leaderboards;

spam invitations, messages, friend requests or reports;

share other people's contact details without their permission;

scrape, crawl or bulk-copy the Service, or use its content to train machine-learning models;

probe, test or bypass our security, rate limits or access controls, reverse engineer the Service, or upload malware;

use padelduels to advertise unrelated products or services, or for anything unlawful.

16. Reports, moderation and enforcement

Use the Report action on the relevant player, game, message or attendance case. Reports are visible only to you and authorised administrators. To tell us about unlawful content, email contact@padelduels.com with a link to it and why you believe it is unlawful.

Administrators can review reports and appeals, remove content, correct results, reverse attendance penalties, restrict participation or accounts, and suspend centres or coach listings. Every administrative action records a reason. When we restrict your account, content or listing, we tell you the decision and the reason unless the law or someone's safety prevents it. You can appeal attendance decisions in Settings and ask us to review any other decision at contact@padelduels.com.

17. Safety and physical activity

Padel is a physical sport and carries a risk of injury. You are responsible for judging your own fitness and level, using suitable equipment, and playing safely.

We do not screen players, hosts or coaches, or inspect venues. Centres are responsible for the condition and safety of their courts and facilities.

Consider whether you need personal accident or liability insurance.

padelduels is not an emergency service. In an emergency, contact local emergency services.

18. Locations, maps and third-party services

Your approximate location is estimated from your browser or IP address and can be wrong. Maps, addresses and directions come from Google Maps, OpenFreeMap and OpenStreetMap and may be inaccurate; check details with the venue.

We rely on third-party providers, including Stripe for payments, Google for hosting and maps, and Supabase for accounts and data. Their terms may apply to you, we are not responsible for their services, and we may change providers.

Links to centres' and coaches' own websites are provided for convenience; we do not control those sites.

19. Intellectual property and feedback

The Service, including its software, design, and the padelduels name and logo, belongs to XPO8 or its licensors. We give you a personal, non-exclusive, non-transferable, revocable licence to use the Service in line with these Terms. Centres and coaches may link to and share their padelduels page, but may not suggest that XPO8 endorses them.

If you send us feedback or ideas, we may use them freely without any obligation to you.

20. Availability and changes to the Service

We work to keep padelduels available but do not guarantee it will be uninterrupted or error-free. We may carry out maintenance, and change, add or withdraw features. New features may be released as previews and provided as they are. Notifications and emails can be delayed or fail, so check game, booking and lesson times in the Service.

21. Closing accounts, suspension and termination

You can close your player account in Settings at any time. Your profile and access stop straight away, games you host are cancelled, your places in other games reopen without penalties, and your coach listing is taken down. Direct identifiers are removed within 30 days, while pseudonymous competition and audit history is kept, as the privacy policy explains.

Closing your account does not cancel court bookings or lessons you have already made or accepted. Cancel them first if they should not go ahead.

To stop listing a centre, contact us at contact@padelduels.com. Honour confirmed bookings, or cancel and refund them, before the page closes.

We may suspend or close an account, listing or centre page if you break these Terms or the law, if you create risk for other users or for us, or if we are required to. Centres and coaches get at least 30 days' notice before we permanently end their listing, unless the law requires otherwise or there are serious or repeated breaches, fraud or safety risks.

We may stop offering padelduels by giving at least 30 days' notice.

Sections that by their nature should continue, including those on content licences, fees owed, disclaimers, liability, indemnity and disputes, survive after these Terms end.

22. Disclaimers

To the extent the law allows, padelduels is provided “as is” and “as available”, without warranties of any kind. We do not guarantee that games will fill or that players will attend, that listings, prices, availability or coach information are accurate, or that any centre, coach or player will act as expected. We are not responsible for the conduct of other users, centres or coaches. Nothing in these Terms affects rights you have by law that cannot be excluded.

23. Limitation of liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law, including under the Control of Exemption Clauses Ordinance (Cap. 71).

Otherwise, XPO8 is not liable for indirect or consequential loss, for loss of profit, revenue, business, goodwill or data, or for loss arising from games, bookings, lessons, venues or the conduct of other users.

Our total liability to you for all claims relating to the Service is limited to the greater of the fees you paid to XPO8 in the 12 months before the claim arose and US$100.

If you use padelduels as a consumer, these limits apply only as far as the law of the country where you live allows.

24. Indemnity

You will compensate XPO8 for third-party claims, losses and reasonable costs arising from your User Content or your breach of these Terms or the law and, if you are a centre or coach, from your venue, bookings, lessons and dealings with players, except to the extent they were caused by XPO8. For consumers, this applies only as far as the law allows.

25. Events outside our control

Neither we nor you are liable for delay or failure caused by events outside reasonable control, such as natural disasters, extreme weather, epidemics, government action, war, labour disputes, power or network failures, or outages at our providers. This does not change the refund rules for bookings and lessons.

26. Changes to these Terms

We may update these Terms, and the date at the top shows when they last changed. For material changes we give at least 15 days' notice by email or in the Service before they take effect, unless a change is needed sooner for legal or security reasons. If you do not agree, stop using padelduels and close your account before the change takes effect; continuing to use it afterwards means you accept the updated Terms.

27. Governing law and disputes

These Terms and any dispute about them or the Service are governed by the law of the Hong Kong Special Administrative Region.

Before starting proceedings, contact us at contact@padelduels.com and give us 30 days to try to resolve the matter in good faith. Centres and coaches can use the same address to complain about how we apply these Terms, and we will respond within a reasonable time.

The courts of Hong Kong have non-exclusive jurisdiction. If you are a consumer, you keep the protection of the mandatory laws of the country where you live and may bring proceedings in your local courts where that law allows.

Where the law allows, claims must be brought individually, not as part of a class or representative action.

28. General

These Terms, with the community rules and the documents they refer to, are the entire agreement between you and XPO8 about the Service.

If any part is found unenforceable, the rest stays in force. If we do not enforce a right straight away, we have not waived it.

We may transfer our rights and obligations to a successor or affiliate; you may not transfer yours without our written consent.

Nothing in these Terms creates a partnership, employment or agency relationship. No one other than you and XPO8 has rights under them, and the Contracts (Rights of Third Parties) Ordinance (Cap. 623) does not apply.

We send notices to the email on your account or in the Service. Send notices to us at contact@padelduels.com.

If these Terms are translated, the English version prevails.

ENTREGRAPH · LEGAL Terms of Service

Effective and last updated: 1 October 2026 · Version 1.0

These terms explain your agreement with XPO8 Limited for using Entregraph, your responsibilities when sharing content and connecting business accounts, and the protections and limits that apply to the Service.

Contents

1. Our agreement with you

These Terms of Service (“Terms”) govern your access to and use of Entregraph, including its website, profiles, startup pages, workspaces, communities, feeds, map discovery, rankings, messaging, connected-account reporting, uploads and related services (the “Service”). The Service is owned and operated by XPO8 Limited, Hong Kong. “Entregraph”, “we”, “us” and “our” refer to XPO8 Limited.

When you create an account or otherwise affirmatively accept these Terms, you enter into an agreement with us. These Terms also set the conditions on which we make the Service available. If you do not agree, do not create an account or use account features, and stop using the Service. A privacy notice is not consent to unrelated processing: the Privacy Policy explains our handling of personal data, and any required privacy consent is obtained separately.

“You” means the person using the Service or, where that person is authorized to accept these Terms for an organization, that organization. You confirm that you have the authority needed to bind the organization and use its accounts and data. Acting for an organization does not authorize access to another organization’s data or another person’s private account.

A signed agreement with XPO8 Limited controls a direct conflict on the subject it covers. Applicable data processing or transfer terms control the processing they specifically govern; a disclosed product-specific order controls its purchase; these Terms otherwise apply. The Privacy Policy governs the information practices it describes, subject to mandatory law. Marketing materials and roadmap descriptions do not create additional contractual guarantees.

2. Key definitions

Account: an Entregraph account associated with an authenticated user.

User Content: information, text, images, links, posts, messages, reports, profile or startup information and other material you submit or authorize us to process.

Connected Provider: an external financial, analytics or social service whose account or data source you connect to Entregraph.

Imported Records: records obtained from a Connected Provider under your authorization, including normalized billing facts, identifiers and reporting observations.

Metrics and Output: calculated or displayed values, charts, histories, counts, ranges, growth measures, rankings, freshness indicators and other results generated by the Service.

Community: a group on Entregraph with its own membership, participation and audience settings, subject to these Terms.

Platform Materials: our software, interface, designs, brand, documentation, calculation methods and other proprietary Service materials, excluding User Content and third-party materials.

Business Customer Data: personal data within Imported Records that we process as processor on an organization’s documented instructions, rather than as controller for our own platform purposes.

3. Eligibility and lawful use

You must be at least 18 years old, have capacity to enter a binding contract and be legally permitted to use the Service. Entregraph is intended for adult entrepreneurs and professional communities. Do not create an account for a child or misrepresent your age.

You must comply with laws applicable to your use, including privacy, intellectual property, consumer protection, advertising, anti-fraud, anti-corruption, sanctions and export-control laws. Do not use the Service where a legal restriction prohibits us from supplying it to you, or attempt to evade a lawful restriction or suspension.

You are responsible for obtaining permission from your organization and from relevant account owners before submitting their information or connecting their systems. A public URL, a shared password or technical possession of a key does not necessarily give you legal authority.

4. Accounts and security

Provide accurate registration information and keep your account email and material profile information reasonably current. Do not impersonate a person or organization, create misleading identities, buy or sell accounts, or use multiple accounts to evade enforcement or manipulate features.

Protect your password, email account, authentication tokens, devices and provider credentials. Do not share a personal sign-in or give another person unrestricted access to it. You remain responsible for activity you authorize and for reasonable security precautions, but these Terms do not automatically make you responsible for every unauthorized act regardless of fault.

Tell us promptly at contact@entregraph.com if you suspect account compromise or unauthorized Service access. Revoke compromised provider credentials directly with the provider. We may request proportionate verification, restrict affected access or ask you to reconnect a provider to protect the Service and other people.

A third-party sign-in method, where available, also depends on that provider’s account and terms. We cannot guarantee recovery of an account if you lose access to the relevant email or identity provider. We will not ask you to disclose a working password or secret key in an ordinary support email.

5. What Entregraph provides

Entregraph helps people present what they are building, connect with entrepreneurs, participate in communities and view supported business and social metrics. Features may include startup reporting, public and private workspaces, location discovery, posts, request boards, messages, rankings and connected-account synchronization.

We provide a technology and community platform. We do not become your accountant, auditor, broker, investment adviser, payment processor, escrow agent, employment agency or business partner by displaying information or connecting accounts. We do not guarantee customers, funding, revenue, partnerships, business success, community admission or message responses.

You decide whether the Service is suitable for your purposes. Verify important information independently before making a financial, legal, employment or business decision. Entregraph is not intended to be your sole accounting record, an emergency communication system or a source of regulatory certification.

6. Your right to use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for its intended purposes, including your own professional participation and your organization’s authorized internal reporting. This right lasts while your access is permitted under these Terms.

You may view and share information using the Service’s available sharing functions and relevant permissions. Access does not grant ownership of Platform Materials, another person’s data or a right to commercially redistribute our database, operate a competing copy of the Service, sell access or use unpublished APIs without authorization.

Any open-source component or geographic dataset remains subject to its applicable license. Nothing in these Terms limits a non-waivable statutory right or a right expressly granted by the applicable open-source license.

7. Your content, authority and responsibilities

You retain ownership of User Content to the extent you own it. You must have the rights and lawful authority needed to submit it, connect its source and instruct us to use it as described in these Terms. Do not upload another person’s confidential information, infringing material or personal data without an appropriate legal basis and permissions.

You are responsible for the accuracy, legality and appropriateness of your submissions and for choosing their audience. Do not fabricate revenue, ownership, customer counts, credentials, testimonials, employment relationships or endorsements. Correct a material error when you discover it, including an incorrect link or account association.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, adapt for technical delivery, transmit and display User Content as reasonably needed to provide, secure, support and maintain the Service, implement your settings, handle reports and comply with law. This includes calculating authorized metrics and making necessary backups. We may sublicense these activities only to providers and personnel who need to carry them out for those purposes.

The license does not give us an unrestricted right to market a private dataset, use your private messages in advertising or publish your company name as an endorsement. Public display follows the audience you choose and the applicable feature rules. Promotional reuse outside that context requires appropriate permission.

The license continues only as long as reasonably needed for those purposes, including lawful retention, shared conversations and protected backup cycles. Applicable privacy rights and processing instructions continue to govern personal data. A license is not a waiver of those rights.

8. Public, community, private and stealth sharing

Review your profile, startup, location and metric settings before publishing. A public profile or startup may be accessible without an account and may appear in feeds, map directories, rankings, searches and other discovery surfaces. Search engines and other people may copy public material.

Startup pages are public; stealth presentation masks selected identity fields. Owner attribution and profile inclusion are separate choices. Metrics imported from a connected source are shown as exact values with history unless the owner hides them or chooses a range. Social links and social audience history follow their own rules and do not automatically inherit financial metric disclosure settings.

Stealth presentation masks selected startup identity fields; it does not guarantee anonymity or eliminate association with its owner, metrics, timing or related posts. Information you disclose can enable inferences about an otherwise private figure or business. Community access limits who can retrieve content through the Service, but does not stop an authorized member from copying it.

You must not attempt to bypass another person’s audience settings or infer and republish confidential data through unauthorized access. A recipient’s ability to view material is not a general license to exploit it. Changing a setting affects supported future display; it cannot recover screenshots, exports, messages or independently retained copies already obtained by another person.

9. Connected providers and authorization

Connect only accounts you own or are authorized to administer. You authorize us to use the approved credential, API or OAuth access to establish and maintain the connection, obtain supported records, calculate reporting, refresh authorization where supported and display results according to your settings.

You must comply with the provider’s terms, permission requirements and any notices or consents needed for your customers, subscribers or users. Use the least privileged available credential. Some keys cannot be technically limited to read-only access; review and accept any required broader-permission acknowledgement before connecting them. Do not provide a credential with unnecessary access simply for convenience.

Supported providers, scopes, quotas and report coverage can change. An integration can be unavailable or disabled because of incomplete configuration, rollout controls, API changes, revoked permissions, source outages, unsupported pricing structures or other limitations. We may withhold, mark incomplete or stop refreshing a result instead of displaying a misleading complete value.

Disconnecting initiates revocation and cleanup of the Entregraph connection. It does not automatically cancel your provider subscription, erase your source account, revoke the same key everywhere it was used or delete every historical metric and Imported Record. Revoke keys directly with the provider if immediate credential invalidation is needed, and make a separate erasure request where appropriate.

The Service’s reporting authorization is not permission for us to sell your products, make charges to your customers, change their subscriptions or transfer money. Connected payment providers are reporting sources; connecting one is not an Entregraph purchase or an authorization to debit your account.

10. Metrics, verification and ranking limitations

Metrics and Output are calculated from supported information available at the time of processing. A “verified”, “connected” or similar indicator is limited to the identified source and applicable validation, completeness and freshness checks. It is not an audit opinion, guarantee of truthful source records, confirmation of profitability, legal ownership, solvency, tax compliance or endorsement of a person or business.

Recurring revenue, net collections, paying customer counts, active subscribers, pageviews, users, social followers and growth measures have different definitions. Monthly recurring revenue is generally a normalized current recurring amount and need not equal recognized accounting revenue or cash received. Net collections can differ from provider dashboard totals because of tax, refunds, disputes, time periods or supported calculation rules.

Reporting can be affected by delays, incomplete records, nested pagination, discounts, seat or usage pricing, currencies, exchange-rate dates, rounding, reporting time zones, changes in source definitions and unsupported cases. Historical values can be revised after reconciliation. A missing, stale or withheld value does not mean zero. A social count may be rounded or approximate, and history may predate an account’s association with your profile.

Rankings are relative results under the current eligible dataset and rules. They are not a comprehensive survey of all businesses or a guaranteed permanent position. Private or undisclosed values need not qualify for public totals or rankings. Currency conversions and thresholds use the applicable calculation basis, which can differ from a live exchange rate.

Do not describe Output as independently audited, certified or guaranteed, manipulate source records to influence rankings, or hide a known material error when presenting a result to others. Contact us if you believe a calculation is wrong. We may correct, recalculate, relabel or remove affected results.

11. Business customer data processing

This section applies only to Business Customer Data for which you are controller and we are processor. It does not make you controller of every Entregraph record or change our separate controller responsibilities described in the Privacy Policy. If an applicable signed data processing agreement exists, it controls a conflict on this subject.

You determine the lawful purposes of connecting and reporting on your customer data, provide required notices and establish the necessary legal basis. Your documented instructions comprise these Terms, an applicable written agreement, the connection you authorize, supported configuration and lawful subsequent written instructions. We process that data only on those instructions, unless law requires otherwise; where legally permitted, we will inform you of a conflicting legal requirement or an instruction we believe infringes applicable data protection law.

The processing concerns authorized import, transient receipt, normalization, storage, metric calculation, reconciliation, delivery of authorized reporting, security and deletion or return. It lasts for the authorized service relationship and any necessary lawful winding-down period. Data subjects may include your customers, payers, subscribers, account users and website or product users. Data can include stable provider and customer identifiers, subscriptions, transaction facts, amounts, currencies, statuses, timestamps and supported analytics observations. It is not intended to include special-category data, complete card details or unrelated customer communications.

We must apply appropriate security measures, ensure persons authorized to process the data are subject to confidentiality duties and limit access to the tasks they need to perform. We must assist you, taking account of the nature of processing and information available to us, with applicable rights requests, security and breach duties, impact assessments and relevant regulator consultations. We will notify you of a personal data breach affecting Business Customer Data without undue delay after becoming aware of it, with relevant available information and further updates as appropriate.

You give general authorization for subprocessors needed for this processing, including the relevant infrastructure providers identified in the Privacy Policy. We remain responsible for imposing applicable data protection obligations on them and for their performance of those obligations. Before adding or replacing a material subprocessor for Business Customer Data, we will provide notice and a reasonable opportunity to raise a substantiated data protection objection. We will work to resolve the concern; if it cannot be resolved, the affected processing must be discontinued or the relevant service arrangement ended as appropriate.

At the end of the relevant processing, we must return or delete Business Customer Data on your lawful choice, except where retention is legally required. Available routine exports may not contain the entire processor dataset, so a complete return or deletion instruction may need to be handled separately. Residual backups remain protected and subject to appropriate deletion restrictions until securely removed or overwritten.

We must make information reasonably necessary to demonstrate compliance available to you and allow required audits, subject to reasonable confidentiality, security, scope and scheduling arrangements that do not defeat a statutory audit right. No audit entitles you to another customer’s data or unrestricted access to production secrets.

These processing obligations do not themselves execute an international transfer instrument. Where legally required, the parties must put the applicable transfer mechanism and supplementary safeguards in place before the affected transfer. Contact contact@xpo8.com for processing and transfer arrangements relevant to your organization.

12. Communities, requests and events

Community organizers may set lawful admission criteria and participation rules, subject to these Terms. Open, approval-based or invite-only admission describes a mechanism, rather than a guarantee that you will be admitted or remain a member. Membership can affect access to content and conversations.

Organizers are responsible for representations they make, their independent events, and any personal data they collect outside the Service. They cannot override our safety requirements, authorize misuse of another person’s information or claim to speak for XPO8 Limited without permission. Creating a community does not create employment, agency, partnership or an investment relationship with us.

Startup requests, replies and votes facilitate discussion. They are not guaranteed offers, contracts, funding commitments or product delivery obligations by Entregraph. Agreements you make with another person are your separate agreements.

For meetings or events, verify the organizer and practical arrangements, consider your safety, and choose what contact and travel information to share. Entregraph does not verify every participant, conduct universal background checks or guarantee the safety or quality of an independent meeting or event.

13. Messages and interactions with others

Messaging preferences, request acceptance, following relationships and revenue thresholds can determine whether a new conversation may open. No person is entitled to a response or to bypass another person’s preferences. Eligibility may use private verified metrics without revealing the underlying amount or startup name.

Do not send spam, deceptive solicitations, malware, harassment or unwanted repeated contact. Do not use a community or message request to evade a block, impersonate support, obtain credentials or pressure someone to disclose private financial information.

Messages are not advertised as end-to-end encrypted. Relevant information may be processed to deliver conversations, handle support, investigate reported abuse or comply with law as explained in the Privacy Policy. Another participant may keep or disclose a copy; do not rely on an account setting as a guarantee of confidentiality.

Use judgment when dealing with other users. A profile, provider connection, badge or rank does not guarantee trustworthiness or make us responsible for a user’s independent representations. Report suspected misuse through available reporting tools or contact us.

14. Acceptable use and prohibited conduct

You must not use the Service to:

Break the law, infringe intellectual property, privacy or other rights, or publish confidential information without authority.

Commit fraud, impersonate others, fabricate business facts, conduct phishing or mislead people about a product, opportunity or affiliation.

Threaten, stalk, harass, exploit or unlawfully discriminate against people, or distribute unlawful sexual, violent or hateful material.

Distribute malware, malicious links or stolen credentials, or intentionally upload material designed to compromise another system.

Access another account, provider connection, private metric, message or restricted community without authorization.

Bypass access controls, rate limits, blocks, provider permission gates, billing controls or security restrictions.

Manipulate rankings, audience counts, engagement, votes, metric sources or freshness indicators through deceptive activity.

Scrape personal data in violation of law or access restrictions; bulk harvest messages, profiles or reporting records; or sell an unauthorized copy of our database.

Use automated activity that creates unreasonable load, disrupts availability or materially harms other users.

Reverse engineer, decompile or circumvent Platform Materials except where applicable law or an applicable license gives you a right that cannot be excluded.

Use our name, logo, a connection indicator or another person’s identity to imply an endorsement or certification that has not been given.

Submit knowingly false reports, misuse legal complaint processes or retaliate against someone for a good-faith report.

Reasonable security research still requires authorization for intrusive testing. Report a suspected vulnerability privately to contact@entregraph.com; do not extract another person’s data, publish working credentials or disrupt the Service to demonstrate an issue.

15. Reports, moderation and review

We may review reports, investigate suspected breaches, restrict visibility, remove content, withhold metrics, limit a feature or suspend access when reasonably necessary for safety, legal compliance or enforcement. The action should take account of the issue, available evidence, risk, recurrence and applicable law.

Where practical and lawful, we will explain a significant action and give an opportunity to respond or remedy a problem. We may act immediately without prior notice for urgent harm, security risk, illegality, a binding legal requirement or where notice would compromise an investigation.

If you believe an action was mistaken, contact contact@entregraph.com with the account, content location, relevant notice and reason for review. Review may be handled manually; we do not promise a dedicated appeals interface, a specific moderation response time or a particular outcome. Statutory complaint and appeal rights remain available.

We are not obliged to proactively examine every item or mediate every private disagreement, except where law requires. A failure to remove content immediately is not approval of it. We may preserve relevant evidence and disclose it where lawfully necessary, as described in the Privacy Policy.

16. Copyright and other rights complaints

Send a rights complaint to contact@entregraph.com. Identify yourself and your authority to act, the right or work concerned, the precise location of the challenged material, the basis of the complaint and a way to contact you. Include a good-faith statement that the use is unauthorized and that your information is accurate. Add a signature or other formal elements where applicable law requires them.

We may request clarification, restrict or remove challenged material, notify the uploader and consider a substantiated response. Where a particular statutory notice or counter-notice procedure applies, that procedure controls. We may restrict repeat infringement where appropriate.

A false or abusive complaint can cause harm and may create legal liability. Do not send unnecessary private records with a complaint. We may need to disclose relevant parts of a notice to the person affected or to a competent authority to handle it fairly and lawfully.

17. Our intellectual property and feedback

Entregraph’s name, logo, interface, software, designs, documentation, calculation systems and other Platform Materials belong to XPO8 Limited or its licensors. Third-party names, logos, data and software remain the property of their owners. All rights not expressly granted are reserved.

Do not remove ownership notices, misrepresent Platform Materials as your own or use our marks in a way that implies sponsorship without permission. Sharing your own lawful content does not require you to transfer its ownership to us.

If you voluntarily send suggestions, ideas or feedback about the Service, you grant us a worldwide, perpetual, non-exclusive, royalty-free right to use that feedback to improve or develop products without an obligation to compensate you. This does not authorize disclosure of your personal data or confidential business records, and it does not apply to material you expressly identify as confidential and we agree to receive on that basis.

18. Confidentiality and private information

Where either party receives non-public information from the other that is marked confidential or would reasonably be understood to be confidential, it must use that information only for the authorized service relationship, protect it with reasonable care, and disclose it only to people or providers with a need to know and appropriate duties. Private provider credentials and non-public Imported Records are not public merely because the Service processes them.

This obligation does not cover information that becomes public without a breach, was already lawfully known, is independently developed or is lawfully obtained from a third party without a confidentiality restriction. A legally required disclosure is permitted, with advance notice where lawful and practical and disclosure limited to what is required.

Content you choose to make public is not treated as confidential by us for that publication. Sharing with a community or another user does not automatically create a separate non-disclosure agreement between you and that recipient. These obligations continue for as long as the information remains confidential, with any greater legally required protection for personal data or trade secrets.

19. Privacy and data responsibilities

The Privacy Policy explains what we collect, our purposes, recipients, visibility, retention, international processing and available rights. Privacy requests go to contact@xpo8.com. An account export or contractual license does not replace your applicable statutory rights.

You must not submit personal data that you are not entitled to use or publish. Provide appropriate notices for customer data you authorize us to process and respect other users’ information. Do not include highly sensitive records, government identity numbers, full payment card details or unrelated personal information in ordinary posts, messages or provider metadata supplied for reporting.

If a required processing or transfer agreement has not been completed for your use, contact us before initiating the affected processing. Neither these Terms nor your decision to connect an account is a blanket waiver of privacy law or a guarantee that every proposed dataset is suitable for the Service.

20. Third-party services and links

The Service depends on third-party infrastructure, identity, storage, email, map, social-data and Connected Provider services. Their APIs, terms, permissions, availability and geographic coverage can change and affect our features. We may change providers where appropriate, subject to applicable contractual and privacy obligations.

Independent startup websites, social profiles, community events and external products are not operated by us simply because we link to them. You should review their terms and privacy practices. Your transactions and agreements with another user or third party are between you and that party.

We do not guarantee an independent provider’s performance or another user’s conduct. This does not remove our own obligations for selecting and managing service providers, our own processing, or any responsibility that applicable law does not permit us to exclude.

21. Sponsor ads

Booking. Entregraph sells a limited number of monthly sponsor spots at the price shown when you book, in US dollars, billed through Stripe. Your first payment covers only the rest of the current month. The sponsorship then renews on the 1st of each month (UTC) until you stop renewal. You can stop renewal at any time in Settings; your ad stays up until the end of the month you have paid for. You create your ad after paying. Your spot, or your place on the waitlist, is held and billed from booking whether or not you have submitted your ad, and the ad shows only once we approve it.

Review. Our team reviews every ad, and every edit, before it shows. A live ad keeps its approved version while an edit is reviewed. If we don’t approve the ad for a spot you have booked, we refund your payments for it in full and end the subscription. You are responsible for your ad and the site it links to, and the acceptable-use and moderation sections apply to ads.

Waitlist. When every spot is taken, you can join a waitlist by paying half the monthly price in advance. The advance is credited to your first month when your ad goes live. It is non-refundable, including if you leave the waitlist, we don’t approve your ad, or your card can’t be charged when a spot opens. When a spot opens, the earliest approved ad on the waitlist goes live automatically and we charge the rest of that month, less the advance, to the card you used. If that charge fails, the spot goes to the next approved ad.

Failed payments. If a renewal can’t be charged, your ad is hidden while Stripe retries. If the payment still fails, the sponsorship ends and the spot is released.

Price changes. We may change the monthly price. We will email you at least 30 days before, and the new price applies from the first 1st of a month at least 30 days after that notice. Stop renewal before then if you don’t want to continue. New bookings pay the current price straight away. These rules don’t limit any mandatory consumer right.

22. Fees and any future paid offerings

The current Service does not establish an Entregraph subscription, transaction fee or purchase merely because you register, publish a startup or connect a payment provider. No general authorization to charge you is created by these Terms. Sponsor ads are a paid offering you book separately, on the terms in the Sponsor ads section.

If we make a paid offering available, its price, currency, taxes, billing interval, scope, renewal arrangements, cancellation process and any applicable refund rules must be disclosed before you purchase it. You must separately authorize the purchase. An automatic renewal or usage-based charge requires the disclosure and authorization applicable to it; it is not implied by this section.

Any paid arrangement remains subject to applicable consumer rights, including required cancellation, withdrawal, refund and remedies for non-conforming services. A separate business order may provide commercial terms where lawful. Your provider’s own charges remain governed by your agreement with that provider.

23. Changes, availability and early features

We may maintain, update or change the Service as it develops. Features can be introduced gradually, limited by provider access or capacity, or withdrawn where necessary. A roadmap, prototype or example dataset is not a promise that a feature or business result will be delivered.

Beta, preview and early-access features may be incomplete, unreliable or change substantially. Treat clearly labeled demonstration people and metrics as examples, rather than evidence about actual businesses. Do not use an experimental feature as your only record of important information.

Interruptions can result from maintenance, deployments, network failures, provider incidents, security events or legal restrictions. Unless a signed agreement expressly provides otherwise, we do not promise a service-level percentage, continuous access, a response or recovery time, a particular synchronization interval, or recovery of every lost record.

We will provide reasonable notice of a material withdrawal where practical and required by law, and honor applicable remedies under an active paid agreement. Urgent security or legal changes may need to take effect immediately.

24. Exports, backups and recordkeeping

You should keep independent records of important business information, accounting evidence and content. Entregraph is not a guaranteed permanent archive of your provider data or messages.

The available account JSON export includes records currently accessible to the signed-in account. It excludes provider secrets and media file binaries; retained records from communities you have left and other information may require a separate access or portability request. A convenience export does not necessarily contain everything required for a complete regulatory record or processor data return.

Backups are for operational recovery and do not guarantee an individual restoration or export on demand. Access changes, moderation, retention rules and legal obligations can affect what remains available. These limitations do not reduce an applicable statutory access, portability or erasure right.

25. Suspension, termination and account closure

You may stop using the Service and request account closure at any time. A completed self-service account closure workflow is not currently offered; contact contact@xpo8.com for account closure and deletion requests. Signing out, removing a social link or disconnecting a provider is not complete account deletion.

We may suspend or end access for a material breach, unauthorized use, a significant legal or security risk, repeated harmful conduct or a binding legal requirement. Where practical and lawful, we will give notice and an opportunity to remedy the issue. We may act immediately where needed to address urgent harm or risk.

We may discontinue the Service or terminate an ordinary service relationship on reasonable notice, normally at least 30 days where practical. Any prepaid fees for an unprovided period must be handled under the applicable purchase agreement and mandatory law. We will not use convenience termination to avoid an accrued legal obligation.

When access ends, your access license ends and affected content may no longer be available. Data return, deletion and retention are governed by the Privacy Policy, applicable processing instructions and law; we do not promise immediate removal from every shared record, recipient copy and backup. Request needed exports before closure where possible.

Terms that by their nature must continue survive, including accrued obligations, necessary content licenses, confidentiality, intellectual property, lawful data processing and retention duties, disclaimers, applicable liability limits and dispute provisions.

26. Disclaimers and required protections

To the maximum extent permitted by applicable law, the Service and Output are provided “as is” and “as available”, without warranties or conditions other than those expressly stated in an applicable agreement. This includes, where lawfully excludable, implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation.

We do not warrant that every provider can be connected, every source record is correct, every report is complete, a metric remains current, every user is trustworthy, a meeting is safe, a business will succeed or a feature is suitable for regulated decision-making. No system can be guaranteed completely secure.

These disclaimers do not contradict an express contractual promise or exclude a guarantee, duty of reasonable care or consumer remedy that cannot lawfully be excluded. If a mandatory law gives you a remedy for a defective digital service, misleading practice or other failure, that law controls.

27. Limits on liability

Subject to the exclusions below and to the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, including lost profits, opportunities, goodwill or anticipated savings, arising from use of the Service. For business users, this includes business interruption and losses from reliance on incomplete metrics or another user’s independent representations, to the extent lawfully excludable.

To the maximum extent permitted by law, our total aggregate liability for claims relating to the Service is limited to the greater of US$100 or the fees you paid XPO8 Limited for the affected Entregraph service during the 12 months before the event giving rise to the claim. The limit applies to connected claims as a whole, rather than separately to each legal theory.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability or statutory right that cannot lawfully be excluded or limited. This includes non-waivable consumer and data protection rights. For consumers, any exclusion or cap applies only to the extent it is lawful and fair under the applicable law; an ineffective restriction does not remove the remedy that law provides.

You should take reasonable steps to avoid and mitigate preventable loss, such as retaining source records and protecting credentials. That responsibility does not excuse a breach by us or create a waiver of your legal rights.

28. Business user responsibility for third-party claims

This section applies to business users acting in the course of their business, and only to the extent permitted by law. You must indemnify XPO8 Limited against reasonable losses, liabilities, damages and legal costs from a third-party claim caused by your unlawful or infringing User Content, your lack of authority to connect or disclose data, or your material breach of these Terms.

The indemnity does not cover a claim caused by our own breach, negligence or unlawful conduct, and does not extend to ordinary consumer use. We must notify you of a relevant claim without undue delay, provide reasonable cooperation and take reasonable steps to mitigate loss.

Defense arrangements must be reasonable and protect both parties’ legitimate interests. Neither party may settle in a way that admits fault for, imposes a non-financial obligation on, or prejudices the other party without its consent, which must not be unreasonably withheld.

29. Events outside reasonable control

Neither party is responsible for delay in an obligation to the extent it is caused by an event beyond its reasonable control, such as a natural disaster, war, government restriction, major telecommunications or utility failure, or widespread infrastructure disruption, provided it takes reasonable steps to mitigate the effect and resume performance.

This does not excuse a failure to take reasonable security precautions, an obligation that could still reasonably be performed, or an accrued payment or privacy obligation. Where a prolonged event materially prevents performance, either party may end the affected arrangement on reasonable notice, with applicable prepaid-service refunds and mandatory rights preserved.

30. Notices and changes to these Terms

We may send relevant notices through the Service, to your account email or by a prominent website notice appropriate to the change. Keep your email current. Optional notification preferences do not prevent necessary legal, security or account communications. Electronic communications may satisfy writing requirements to the extent the law permits.

We may update these Terms for changes in the Service, operations or law. For a material change, we will normally provide at least 30 days’ notice before it takes effect, unless an urgent legal or security reason requires a shorter period. Minor clarifications may take effect when posted. The effective date and version appear at the top.

Where legally permitted, continued use after a properly notified change takes effect constitutes acceptance. Where affirmative acceptance is required, we must obtain it. If you do not agree, stop using the affected Service and request closure or cancel the relevant paid arrangement before the effective date. Applicable refunds and mandatory rights remain available.

Changes do not apply retrospectively to an existing dispute or authorize an unrelated data use merely by changing wording. Contact us if you need clarification or a prior version relevant to your use.

31. Hong Kong law and resolving disputes

These Terms and related non-contractual disputes are governed by the laws of Hong Kong, without regard to conflict-of-law rules. Subject to mandatory law, the courts of Hong Kong have exclusive jurisdiction.

If you are a consumer, this choice does not deprive you of mandatory protections under the law of your habitual residence where that law applies, or a right to bring proceedings in a court your applicable consumer law permits. Regulatory complaints and statutory remedies remain available. These Terms do not impose mandatory arbitration or waive a non-waivable collective remedy.

Before bringing ordinary proceedings, please send a written description of the dispute, relevant account information and the remedy requested to contact@entregraph.com. Both parties should make a reasonable good-faith effort to resolve it for 30 days. This process is not a condition that defeats a statutory deadline, prevents an urgent injunction or requires you to delay a regulator complaint.

32. General provisions

These Terms and applicable written agreements and product-specific terms form the agreement for the Service. They replace prior agreements on the same subject to the extent permitted by law. Nothing excludes liability for fraudulent misrepresentation or prevents reliance on a representation that applicable law makes binding.

If a provision is invalid or unenforceable, it is limited or severed only as necessary, and the remaining provisions continue. For consumer terms, an unfair provision is handled as the applicable law requires; it is not rewritten simply to remove a protection that law grants you.

You may not transfer your account or contractual rights without our consent, except where law permits otherwise. We may transfer this agreement as part of a lawful merger, restructuring or transfer of the Entregraph business, provided your mandatory rights are preserved and the successor can assume the relevant obligations. Relevant privacy notice and transfer restrictions continue to apply.

A delay in enforcement is not a waiver. No partnership, employment, fiduciary or agency relationship is created merely by using the Service. Unless expressly provided in an applicable agreement, no third party has a right to enforce these Terms under Hong Kong’s Contracts (Rights of Third Parties) Ordinance.

Headings are for navigation. “Including” introduces examples rather than an exhaustive list. The English text controls interpretation unless applicable law requires otherwise. A translation must not reduce a mandatory right.

33. Contact and legal notices

For Service questions, legal notices, terms enquiries, rights complaints or a request to review an access decision, email contact@entregraph.com. For privacy, data access, correction, deletion, account closure and business data processing enquiries, email contact@xpo8.com. XPO8 Limited 1603, L. Plaza 367–375 Queen’s Road Central Sheung Wan, Hong Kong Island Hong Kong Identify the account and issue sufficiently for us to respond, but do not include working passwords, API credentials or unnecessary sensitive records. Formal service of legal proceedings must still comply with the applicable procedural law; publishing an email address is not a waiver of those requirements.

Terms of service

Last updated 7 October 2026

1. Who we are

ZeroToBuilders (the “Service”), at zerotobuilders.com, is owned and operated by XPO8 Limited (“XPO8”, “we”, “us”), a company incorporated in Hong Kong, of 1603, L. Plaza, 367–375 Queen’s Road Central, Sheung Wan, Hong Kong. These Terms are a contract between you and XPO8. You can contact us at contact@zerotobuilders.com.

2. Accepting these Terms

You accept these Terms when you create an account, pay for a membership, apply for a club partnership or otherwise use ZeroToBuilders. The member rules you confirm before entering the workspace form part of these Terms. Our privacy page explains how we handle personal data. If you do not agree, do not use ZeroToBuilders.

3. Who can join

You must be able to enter into a binding contract. If you accept these Terms for a university club, you confirm you are authorised to act for it. You may not use ZeroToBuilders if we previously closed your account for breaking these Terms, unless we agree otherwise in writing.

4. What ZeroToBuilders provides

ZeroToBuilders is a community for people who want to build companies. Membership includes community channels, project rooms and private messages, a shared launch roadmap, accountability, feedback and launch review, access to partner discounts, and a character that levels up as you take part. Most of the workspace opens after you link an Entregraph account and authorise reporting.

The roadmap, feedback and community discussion are general guidance, not legal, financial, tax or other professional advice. You choose what to build and you are responsible for your company. We may change, add or remove features.

5. Membership and payment

Membership is a one-time payment of US$250, or US$150 when you join through an approved university club’s link. The price shown at checkout is the price you pay. There is no monthly fee. Payments are processed by Stripe, and we never see your full card details. Your membership and your first 100-day cycle start when your payment succeeds.

6. No refunds

All membership payments are final and non-refundable. We do not give refunds for unused time, for leaving, for missing a launch deadline, for losing your membership under these Terms, or for changes to features or partner offers. This does not remove any rights you have under consumer law that cannot be excluded.

7. The 100-day launch requirement

To keep your membership, you launch a new company in every 100-day cycle. A launch needs a product or service to sell, an attempt to sell it, and an online presence. A member of the team reviews your launch and decides whether it qualifies.

Before you enter the workspace, you confirm five rules: have a website, be on social media, build in public, have something to sell, and actually try to sell. If you miss your cycle’s launch or break the rules, we may end your membership. When a membership ends, we may post a notice in the community’s #graveyard channel.

8. Your account

Keep your sign-in details secure and do not share your account. Each account is for one person. You are responsible for activity on your account, and you should tell us straight away if you think someone else has used it. Your full name and location are visible to other members. Your email address stays private.

9. Your content

You keep ownership of what you post, including messages, files, project details and roadmap answers. You give XPO8 a worldwide, non-exclusive, royalty-free licence to host, store, copy, display and share that content as needed to run, secure and improve ZeroToBuilders. The licence lasts while your content is on the Service, and afterwards only as needed for our records. Content you post in community channels is visible to other members. You confirm you have the rights to everything you post.

10. Acceptable use

Do not:

harass, threaten or discriminate against anyone, or impersonate another person or business;

misrepresent your launch, revenue or progress;

spam members or channels;

share other members’ private messages, contact details or work outside ZeroToBuilders without their permission;

post unlawful or infringing content, or upload malware;

scrape or bulk-copy the Service, or probe, test or bypass its security or access controls;

share, sell or transfer your membership.

11. Reports and moderation

You can report messages that break these Terms. Our team can review reports, remove content, archive projects and suspend or end memberships. Questions about a decision can be sent to contact@zerotobuilders.com.

12. Partner offers and third-party services

Partner discounts and credits are provided by third parties under their own terms. Partners may change or withdraw their offers, and we do not guarantee any offer or its value. Entregraph, Stripe, Google sign-in and other connected services are governed by their own terms.

13. University clubs

Club affiliation is free and starts when we approve a club’s application. Approved clubs get a signup link with the club price and a leader dashboard. Club leaders can see who signed up through the club’s link, their payment status and whether they have access. Company reports are shared with a club only if the member chooses to share them.

14. Characters and XP

Characters, levels and XP have no monetary value and cannot be sold, transferred or exchanged. We may change how they work.

15. Our intellectual property and feedback

ZeroToBuilders, its brand, roadmap, characters and software belong to XPO8 or its licensors. While you are a member, you may use them only to take part in ZeroToBuilders. Do not republish the roadmap or other member-only material. If you send us suggestions, we may use them without any obligation to you.

16. Leaving and suspension

You can stop using ZeroToBuilders at any time. To close your account, email contact@zerotobuilders.com. Closing your account does not entitle you to a refund. We may suspend or end your membership if you miss a launch, break these Terms or the law, or create risk for other members or for us.

17. Disclaimers

To the extent the law allows, ZeroToBuilders is provided “as is” and “as available”, without warranties of any kind. We do not guarantee that you will launch a company, make sales or earn revenue, that feedback or roadmap guidance is accurate or suitable for your company, or that other members will act as expected. Nothing in these Terms affects rights you have by law that cannot be excluded.

18. Limitation of liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law, including under the Control of Exemption Clauses Ordinance (Cap. 71). Otherwise, XPO8 is not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data. Our total liability to you for all claims relating to the Service is limited to the greater of the fees you paid XPO8 in the 12 months before the claim arose and US$100. If you use ZeroToBuilders as a consumer, these limits apply only as far as the law of the country where you live allows.

19. Indemnity

You will compensate XPO8 for third-party claims, losses and reasonable costs arising from your content or your breach of these Terms or the law, except to the extent caused by XPO8. If you are a consumer, this applies only as far as the law allows.

20. Events outside our control

We are not responsible for delays or failures caused by events outside our reasonable control, such as outages of hosting, payment or other providers, natural disasters or government action.

21. Changes to these Terms

We may update these Terms. The date at the top shows when they last changed. For material changes, we will give at least 15 days’ notice by email or in the Service before they take effect, unless a change is needed sooner for legal or security reasons. If you do not agree, stop using ZeroToBuilders before the change takes effect. Continuing to use it afterwards means you accept the updated Terms.

22. Governing law and disputes

These Terms and any dispute about them or the Service are governed by the law of the Hong Kong Special Administrative Region. Before starting proceedings, contact us at contact@zerotobuilders.com and give us 30 days to try to resolve the matter in good faith. The courts of Hong Kong have non-exclusive jurisdiction. If you are a consumer, you keep the protection of mandatory laws in the country where you live, and you may bring proceedings in your local courts where that law allows.

23. General

These Terms and the documents they refer to are the entire agreement between you and XPO8 about the Service. If any part is found unenforceable, the rest stays in force. If we do not enforce a right straight away, we have not waived it. We may transfer our rights and obligations to a successor or affiliate; you may not transfer yours without our written consent. No one other than you and XPO8 has rights under these Terms, and the Contracts (Rights of Third Parties) Ordinance (Cap. 623) does not apply. We send notices by email or in the Service. If these Terms are translated, the English version prevails.

24. Contact
